About The Position

The SVP, Senior Corporate Counsel (SCC) will fulfill a wide variety of duties and responsibilities that affect every department of Libertas. These will include advising on new laws, existing laws, and legal issues that would impact the functionality and operations of the business. The SCC will be responsible for overseeing all legal matters of the business as a whole and will maintain the company’s legal documents. They will provide educated legal advice to senior management, board members, and other executives on various legal matters and instruct them on how to remain compliant with current corporate laws. To succeed in this role, the SCC will need to have outstanding interpersonal skills, the ability to interface effectively with all business functions throughout the organization with a highly responsive and service-oriented attitude.

Requirements

  • Strong Knowledge of commercial lending space with prior experience at a bank, private equity or law firm supporting the commercial finance sector
  • Strong attention to detail and the ability to manage a high-volume workload.
  • Superior communication skills, both verbally and in writing.
  • Sound and practical business judgment.
  • Comfortable in a fast-paced, team-oriented environment.
  • Adaptable and responsive to changing business priorities.
  • Ability to self-manage tasks, set priorities, and multi-task.
  • Broad knowledge of all aspects of the legal field, including litigations, private debt, corporate law, and labor law.
  • Broad experience in contract drafting and negotiation.
  • Broad range of relevant legal experience, including the ability to identify, prioritize and resolve critical legal issues in real time.
  • Strong technology skills, with experience and a strong interest in utilizing technology to improve ways of working.
  • Member of the Connecticut State Bar or willing to become Connecticut Authorized In- House Counsel.
  • JD degree and BA/BS degree
  • 15+ years of legal employment working in a corporate legal department or a top-tier law firm, with experience advising on corporate and commercial matters, including drafting and negotiating agreements and regulatory law.
  • Experience in commercial lending and small business finance.
  • Prior experience negotiating intercreditor and subordination agreements

Nice To Haves

  • Bankruptcy experience is highly preferred

Responsibilities

  • Lead on all contractual negotiations with clients and referral sources in the small business and commercial middle market sector
  • Works with compliance on facilitating filings of licensing forms and other statutory requirements
  • Negotiating intercreditor and subordination agreements.
  • Reviewing any key firm wide documents before they are signed.
  • Drafting contracts, referral agreements, vendor agreements, credit line agreements, subordination agreements.
  • Keeping a record of all legal documents and proceedings for the company
  • Leads engagement and communication with securitization and any other debt facility legal counterparts including Libertas outside counsel
  • Directs litigation strategy in coordination with outside counsel, including the critical review and drafting of legal correspondence, pleadings, and settlement agreements.
  • Attends Board meetings and acts as Corporate Secretary, ensuring all corporate governance standards are met.
  • Communicating with strategic partner’s legal counsel.
  • Advising on strategic initiatives, drafting term sheets and other documents as appropriate.
