About The Position

This role provides critical support in securities compliance and equity administration, ensuring accurate maintenance of corporate records and facilitating regulatory adherence. The Stock Paralegal manages stock transactions, filings, and corporate governance documentation, collaborating closely with legal, finance, and external partners. You will play a key role in supporting equity-related processes for grants, transfers, and compliance reporting, while helping to prepare materials for board actions and corporate transactions. The position demands a proactive, detail-oriented individual who can manage multiple deadlines, navigate complex regulatory requirements, and communicate effectively with internal and external stakeholders. Requirements

  • Paralegal certificate or bachelor’s degree.
  • 3–6 years of experience in equity administration within a public company.
  • Strong knowledge of federal and state securities laws and SEC filing requirements.
  • Familiarity with Section 16 reporting requirements.
  • Proficiency with stock plan administration platforms (e.g., Fidelity, Shareworks, Certent) preferred.
  • Excellent attention to detail, organizational skills, and ability to manage multiple priorities and deadlines.
  • Strong communication skills and ability to collaborate with cross-functional teams and external partners.

Responsibilities

  • Process equity grants, option exercises, stock transfers, and other equity transactions according to equity compensation plans and applicable laws.
  • Prepare and file SEC reports and forms, including Forms 3, 4, 5, S-8, and other securities compliance filings.
  • Maintain and organize corporate governance documentation such as stock awards, option agreements, and related records.
  • Coordinate with transfer agents, stock plan administrators, and third-party service providers to facilitate equity administration and resolve discrepancies.
  • Support administration of equity compensation plans, including preparation of board resolutions, stockholder consents, and corporate action materials.
  • Track compliance with federal and state securities laws and filing deadlines.
  • Assist with equity-related aspects of mergers, acquisitions, financing transactions, and due diligence activities.
  • Respond to inquiries regarding equity matters, providing guidance and accurate information to employees, stockholders, and external parties.
