About The Position

As a Staff Attorney for the International Code Council, Inc. (“ICC”), you will report directly to the ICC Deputy General Counsel and provide general legal and business support to the ICC Family of Solutions. This position offers a broad range of responsibilities – from providing support to the Board of Directors to negotiating licenses for use of ICC content to general corporate compliance – for a multinational non-profit organization and its 15+ subsidiaries. You will interface and collaborate closely with colleagues at all levels within all business units, allowing you to make a meaningful impact across the organization and contribute significantly to its building safety mission. This position follows a hybrid schedule, two days per week on-site in either the Washington, DC or Birmingham, AL office.

Requirements

  • Juris Doctor degree.
  • Licensed to practice law and a member in good standing of at least one U.S. state bar.
  • 2-4 years of full-time legal experience, preferably including experience with licensing or other corporate contracts, working with a corporate Board of Directors, or supporting non-profit organizations.
  • Proven ability to manage projects and tasks effectively and autonomously.
  • Must be detail-oriented and have excellent judgment, teamwork, organization, and written and oral communication skills.

Responsibilities

  • Collaborating closely with the General Counsel and Deputy General Counsel to analyze a wide variety of complex legal issues and develop strategic, risk-balanced solutions relating to various business units.
  • Providing corporate governance support and counsel to the ICC Board of Directors and subsidiary boards, including preparing meeting agendas, meeting minutes and corporate resolutions.
  • Serving as a key liaison to certain Board governance committees, with a particular emphasis on supporting the Nominating Committee and the annual elections process for directors and officers.
  • Drafting, reviewing and negotiating many types of contracts, including NDAs, content licensing agreements, technology agreements, and services agreements.
  • Developing corporate policies and procedures.
  • Drafting legal correspondence and press releases.
  • Initiating and maintaining trademark and corporate registration filings.
  • Enforcing ICC’s intellectual property rights.
  • Supporting litigation efforts, including overseeing responses to discovery requests and third-party subpoenas.
  • Maintaining and developing a repository of all legal and corporate records, including all written corporate policies, governing documents, and executed contracts.
  • Other responsibilities as assigned.
