About The Position

The Sr Director, Corporate Counsel will be a part of Digital Realty’s broader global Legal Risk Sustainability Compliance (LRSC) Team, serving as the in-house counsel dedicated to supporting Digital Realty’s real estate investment funds. You will be responsible for providing comprehensive assistance with fund formation, onboarding, fund filings, regulatory compliance, as well as corporate governance matters, management of fund internal policies, and other legal activities. The successful candidate should possess a strong understanding of private funds concepts, along with excellent organizational and communication skills.

Requirements

  • 10+ years of experience at major law firm or in-house legal department working on private funds; experience with open-ended and closed-ended funds a plus.
  • Juris Doctor degree from an accredited law school and at least one active bar membership/license to practice law in any state.
  • Strong understanding of the asset management industry and securities markets, as well as detailed knowledge of securities laws, rules and regulations that relate to investment advisers (e.g., Investment Company Act, Investment Advisers Act, Securities Act, SEC rules).
  • Excellent written and verbal communication skills, with the ability to interact professionally with clients and team members.
  • Willingness to be very hands-on and proactive in offering solutions; comfortable with technology.
  • Strong organizational skills with the capability to manage multiple tasks and meet deadlines effectively, while maintaining keen attention to detail and accuracy in all work product.

Nice To Haves

  • Understanding of the broker-dealer industry and related FINRA rules is a plus.
  • experience with open-ended and closed-ended funds a plus.

Responsibilities

  • Advising on a broad range of legal and regulatory matters related to the formation, structuring, distribution/marketing, and operation of private funds. This includes preparing and negotiating private placement memoranda, partnership agreements, term sheets, side letters, placement agreements, investment management agreements, and other fund-related documents.
  • Supporting the company’s various investment activities, including supporting investor due diligence, performing legal reviews, negotiating terms, and managing engagement letters and other investment agreements.
  • Supporting and advising client and relationship teams in areas such as investor onboarding, responding to investor inquiries, and reviewing marketing materials, investor presentations, RFPs, and DDQs to ensure regulatory compliance and alignment with standards.
  • Monitoring and ensuring compliance with relevant laws, regulations, and industry standards for private investment funds.
  • Assisting with regulatory filings, including Form ADV, Form PF, and Form D, and coordinating responses to regulatory inquiries, to the extent required.
  • Managing compliance with and administration of fund internal policies in coordination with the fund compliance manager.
  • Drafting, negotiating, and managing various legal documents, including transaction documents, client agreements, vendor contracts, and NDAs, ensuring they are current and compliant.
  • Building and maintaining strong working relationships with key business partners, including external counsel, clients, and internal teams, overseeing outside counsel and assisting and coordinating with business groups on legal matters relating to capital formation / fundraising and fund related issues with respect to investments.
