The Role: We are seeking experienced corporate counsel to join our legal team and support NW Natural's corporate, financing, and M&A activities. This role will be responsible for advising on a broad range of strategic activities, including mergers and acquisitions, debt and equity financings, and other corporate initiatives. The successful candidate must be team oriented and comfortable working closely with our business partners and external advisors to advance the company's growth and investment strategy. This position reports to NW Natural's General Counsel. Day to Day: This position serves as the primary legal partner to the Business Development and Finance teams, including during routine financings and active transactions. The successful candidate will be comfortable collaborating with our business teams and outside counsel on M&A and debt and equity financings and leading smaller M&A transactions, including managing the legal due diligence process, drafting and negotiating transaction documents and managing relationships with outside counsel. We recognize that strong candidates may not have extensive experience in every area listed and encourage applicants with a solid foundation in M&A and/or financing transactions to apply. Come on your first day with: J.D. degree and attorney license in good standing. 6+ years of relevant experience in mergers and acquisitions and/or finance and other corporate transactions (in-house or law firm). Deep understanding of debt and equity financings and M&A. Proven ability to manage multiple complex transactions and competing priorities. Adept drafting, analytical, and negotiation skills. Excellent communication and project management skills. Experience in a regulated industry (energy, utilities, infrastructure) preferred. Experience with public companies preferred. Ability to work collaboratively with business teams and external stakeholders.
