Job Summary: Location: Methodist Corporate Office Address: 825 S 169th St. - Omaha, NE Work Schedule: Mon - Fri, 8:00am to 5:00pm The position title is based on experience and qualifications The Senior Corporate Counsel serves as a key member of the Legal team, providing advanced legal guidance and strategic counsel to executive leadership and business partners regarding healthcare and corporate matters. This role manages complex legal matters, mitigates organizational risk, and ensures compliance with applicable laws and regulations. The Senior Counsel operates with a high degree of autonomy and serves as a trusted advisor on significant business initiatives, transactions, and regulatory matters. The Corporate Counsel provides legal advice and strategic guidance to leadership and business partners across the organization. This role is responsible for providing legal advice and assistance on health care law matters, managing legal risk, ensuring regulatory compliance, drafting and negotiating contracts, and supporting key business initiatives. The Corporate Counsel serves as a trusted advisor, balancing legal protections with operational and strategic objectives.

Requirements

  • Juris Doctor (JD) degree from an accredited law school.
  • Minimum 2 years legal experience, preferably including in-house counsel experience.
  • Prior contract negotiation experience.
  • Valid and current driver’s license required.
  • Active license to practice law in good standing in Nebraska and/or Iowa required.
  • Strong analytical and problem-solving skills.
  • Knowledge of healthcare legal issues/contracts and federal and state regulations regarding billing, HIPAA and licensing.
  • Skilled in collecting, interpreting, communicating, and presenting information in a clear, concise manner.
  • Ability to translate complex legal concepts into practical business guidance.
  • Skilled in negotiating legal terms in contracts with vendors and communicating in a timely and professional manner.
  • Strong organizational and time management skills, and ability to manage work schedule, priorities, and resources.
  • Advanced skills in Microsoft Office, including Word, Excel, PowerPoint, Access, and Outlook.
  • Superior communication skills, both written and verbal.
  • Ability to internalize NMHS corporate policies and procedures and effectively disseminate across team members and departments.
  • Ability to process and manage confidential information with discretion and according to Health System and HIPAA protocols.
  • Must possess business awareness and numerical ability.
  • Able to work in a collaborative and cooperative environment and build trusting relationships with customers and colleagues, including executive level and C-suite personnel.

Responsibilities

  • Legal Advisory & Risk Management Support Provide timely, practical legal advice to leadership and internal stakeholders.
  • Identify and mitigate legal and regulatory risks across business operations.
  • Interpret and apply federal, state, and local laws and regulations relevant to the organization.
  • Contract Drafting & Negotiation Draft, review, and negotiate a wide range of agreements, which may include vendor contracts, service agreements, employment-related documents, and strategic partnership agreements.
  • Advise business leaders on contract structure, risk allocation, and key terms.
  • Manage contract disputes and recommend resolution strategies.
  • Healthcare Regulatory & Compliance Support Monitor regulatory developments and advise leadership on potential impacts.
  • Support internal compliance programs and investigations.
  • Collaborate with operational leaders to ensure adherence to applicable laws and corporate policies.
  • Institutional Review Board (“IRB”) Support Provide legal guidance to IRB.
  • Ensure compliance with federal, state and local laws and regulations.
  • Draft, review and negotiate clinical trial agreements and informed consents.
  • Take minutes during IRB meetings.
  • Management of Real Estate Holdings Draft, review and negotiate real estate contracts.
  • Manage relationships with tenants and landlords.
  • Ensure rents are paid and received.
