We are seeking an experienced Sr. Corporate Counsel to join our Legal Department, reporting to the Director of Corporate Legal. In this pivotal role, you will support the Company's financing initiatives, strategic transactions, and broad range of corporate matters. You will work closely with teams across Finance, Investor Relations, Marketing, Human Resources, and external counsel to ensure legal and regulatory compliance.

Requirements

  • 10+ years of experience as a corporate attorney in a law firm or public company legal department (preferred).
  • Extensive experience with M&A and financing projects, entity management, and a broad range of corporate matters.
  • Collaborative team player with the ability to effectively communicate with other members of the legal team and business stakeholders.
  • Self-motivated with a proactive approach to legal matters.
  • High ethical standards, attention to detail, and strong problem-solving skills.

Responsibilities

  • Support corporate transactions, including M&A, debt and equity offerings, and other strategic investments.
  • Oversee entity formation and subsidiary management.
  • Collaborate with Investor Relations and Marketing to review press releases, investor presentations, and other public communications.
  • Draft, review, and negotiate contracts, policies, and procedures that support business operations.
  • Assist with SEC reporting, corporate governance, and compliance matters.
  • Implement company policies and provide strategic legal advice.
  • Manage and coordinate with external counsel.
