Join the Legal team that supports the Specialized Industries (SI) banking and credit teams, including the Innovation Economy verticals, which are part of the Commercial and Specialized Industries (C&SI) line of business in the Commercial and Investment Bank (CIB), for one of the world’s best and most innovative banks. As a Specialized Industries Attorney - Vice President, Assistant General Counsel on the Commercial and Specialized Industries Legal team, you will regularly work with customer-facing bankers, risk personnel, and service personnel, as well as advise on deposit, cash management, fraud, marketing and other customer and client issues as they arise. You will leverage your legal knowledge to help drive and coordinate the SI Legal team’s role in supporting and advising on all significant business, controls and compliance initiatives, as well as various cross-line of business projects. Requirements

  • JD and minimum of 4 years of post-JD practice experience in commercial lending at a law firm and/or in-house legal department at a large bank or other financial services company
  • Knowledge of the legal and regulatory requirements for Commercial and Investment Banking businesses with a focus on secured lending and knowledge of UCC Art. 9
  • Experience collaborating on a broad range of business strategies and issues with senior management and a reputation for providing valued, and independent counsel and judgment
  • Demonstrated leadership, judgment and character
  • Excellent verbal, written communications skills and strong interpersonal skills with ability to interact effectively with clients and partner with other members of the Legal Department and the business to find solutions
  • The ability to prioritize work, manage a large number of issues at one time, and interact with senior and executive management with problem solving and project management skills
  • All candidates for roles in the Legal department must be licensed to practice law in the country of employment and successfully complete a conflicts of interest clearance review prior to commencement of employment.

Nice To Haves

  • Knowledge of banking regulations and UCC Art. 3, 4 and 4A
  • Experience working on start-up and venture lending transactions, including transactions with warrants

Responsibilities

  • Provide transactional support, including analysis and advice on structural and risk issues
  • Review, negotiate and draft loan documentation, amendments, waivers, consents, warrants, proposal and commitment letters, payoff letters and confidentiality agreements in connection with bilateral and syndicated transactions
  • Represent JPMCB in early stage workout matters
  • Support and maintain outside counsel relationships and coordinate engagement of outside counsel
  • Escalate issues as appropriate and share potential concerns, issues, and ideas with legal and control functions across the company
  • Support and advise the business with respect to treasury management products and client related issues including KYC, fraud, privacy, AML, complaints and fair banking issues which may arise
  • Advise the business with respect to new or changing products or pricing, events, marketing, regulatory and related issues impacting financial institutions operating in a multi-state environment and provide training to the business
  • Partner with Risk, Controls, and Compliance colleagues regarding operational and regulatory risk and control issues and the applicability of federal and state law and regulation to the business
