About The Position

McCarthy Holdings, Inc. (MHI), is currently searching for a Senior Transactional Paralegal to support the Legal Department. This position can be located in our Phoenix, AZ office and will support multiple attorneys and business units across 5 regions. MHI is the parent of McCarthy Building Companies, Inc. Requirements

  • 10-15 years of experience as a litigation paralegal.
  • Bachelor's degree or Paralegal Certificate from an ABA-approved program.
  • State licensed if required by the state in which you currently practice.
  • Strong understanding of contract law, business entities and the transaction process.
  • Proficient in Microsoft office suite and legal document management systems.
  • Exceptionally skilled at organization; detail-oriented.
  • Superb written and oral communication skills.
  • Ability to maintain strict confidentiality and exercise discretion.
  • Excellent judgment and high degree of integrity.
  • Communicate effectively with all levels of management and staff as well as outside counsel.

Nice To Haves

  • Experience in construction industry (preferred).
  • Notary Public designation is a plus.

Responsibilities

  • Draft, review, edit and negotiate various transactional documents, including contracts, agreements, resolutions and closing binders.
  • Conduct due diligence reviews and summarize findings.
  • Liaise with clients, vendors, government agencies and internal departments.
  • Track and manage critical dates and deliverables for transactions.
  • Assist with entity formation, governance and maintenance.
  • Organize and maintain corporate records, including minute books, resolutions and filings.
  • Ensure compliance with internal policies and applicable laws and regulations.
  • Manage the internal matter management system including opening matters, organizing documents, running reports, and assisting with outside counsel accounts payable.
  • Organize and maintain electronic document repositories for active matters.
  • Track legal deadlines and ensure timely compliance with document requirements.
  • Attend meetings with internal stakeholders and participate in strategy discussions.
