About The Position

We design, build and run fully integrated, end-to-end solutions at speed and scale. We are looking for a thoughtful and engaged Senior Securities Counsel to join our dynamic legal team and support our public company compliance and corporate governance activities. This role works closely with the Corporate Secretary and broader legal and finance teams, with primary responsibility for the preparation, review, and coordination of SEC filings and related disclosures.

Requirements

  • At least five years of securities law and corporate governance experience in private practice or in-house roles.
  • Admitted to practice and in good standing in a U.S. state.
  • Excellent written and oral communication skills.
  • Comfortable using and learning new technologies and tools to support legal workflows and compliance processes.
  • Proactive and problem-solving mindset with ability to push work forward independently and manage multiple projects simultaneously.
  • Organized and attentive to detail.
  • Strong judgment with ability to clearly articulate options and advise business partners on risks.

Nice To Haves

  • Experience with capital markets transactions or bank financing is a plus though not required.

Responsibilities

  • Lead the drafting and review of SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements and registration statements, exercising judgment on disclosure matters and partnering closely with finance and senior leadership.
  • Serve as a trusted advisor to senior executives on corporate and securities laws, stock exchange rules and other public company regulations.
  • Review corporate communications and disclosures, including press releases and investor presentations.
  • Support with corporate secretarial function, including drafting resolutions and assisting with Board and committee materials.
  • Partner with compensation team on equity award management.
  • Support treasury department in connection with financing activity, debt agreement compliance and hedging program.
  • Develop strong relationships with accounting, financial reporting, tax, compensation, investor relations, treasury and broader legal teams.
  • Opportunity to support on M&A and other strategic transactions.
