About The Position

McDonald's Corporation has an opening for a senior paralegal. This person will be a member of the Corporate, Securities & Governance ('CSG') team and should be knowledgeable in corporate law. In addition, knowledge of executive compensation, securities filings and general governance of public companies is highly preferred. The CSG team provides legal support in several areas, including subsidiary maintenance and management, securities regulation (reporting and compliance, issuances, insider trading, NYSE compliance, stock options and executive compensation); corporate secretary/governance (Delaware law, board/committee matters, subsidiaries, stockholders, corporate records) and ERISA.

Requirements

  • Paralegal Certificate or other comparable education such as law school or law degree in the U.S. or a foreign jurisdiction is strongly preferred
  • Demonstrate strong skills in organizational, interpersonal, time management, analytical and communication
  • Ability to work independently, as well as part of a team
  • Effectively prioritize a large volume of confidential and time-sensitive work with short deadlines

Responsibilities

  • Support the maintenance and organization of the Company's global subsidiary management database
  • Assist with documenting corporate actions, including the appointment of officers and directors, and uploading records to subsidiary database
  • Prepare securities filings, including Forms 3/4/5 and compensation related Forms 8-K
  • Assist in trading plans in connection with executive and Director transactions in the Company's stock
  • Support the Company's equity granting process, including drafting resolutions
  • Assist with the Company's proxy statement, in particular with respect to stock ownership and compensation disclosure
  • Work with market teams to draft and update governance-related documents and ensure appropriate corporate formalities from both a U.S. and international perspective
  • Provide support on a variety of other requests as may arise from time to time
  • Develop and maintain working relationships with various departments with which our team interfaces to obtain information
