Job Description We're seeking a Senior Paralegal with deep expertise in corporate governance and corporate contract matters to support our global operations. This role partners closely with our Legal, Compliance, and Business teams to ensure strong entity management, governance processes, and seamless contract administration.

Requirements

  • Strong track record in corporate governance and global entity management
  • Solid experience with corporate record keeping, board governance, filings, and contract administration
  • Advanced organizational skills, attention to detail, and comfort managing complex processes across jurisdictions
  • You are comfortable working with a global team across multiple business functions and balancing competing priorities to make informed decisions in a high-volume/velocity environment.
  • You are pragmatic business enabler, not a business blocker. You work with the team to analyze risks at a business-wide strategic level to make the right decision for our business.
  • You have a track record of building strong relationships with cross-functional teams, helping them reach the desired outcome without unnecessary friction while also confidently and resiliently managing their expectations and demands.
  • You have excellent communication skills and can explain complex issues simply and concisely with a wide audience
  • You have leveraged Salesforce as a contracting tool to manage, track, and support the end-to-end contract lifecycle.

Nice To Haves

  • Experience of dealing with intercompany rationalization plans both inside and outside of the United States.
  • Experience of assisting with insurance matters
  • Notary license

Responsibilities

  • Oversee global entity structure and subsidiary maintenance (including, where relevant, corporate lifecycle events e.g. formation, amendment, dissolution, board changes)
  • Collaborate with external providers and counsel to ensure corporate books and entity records remain up-to-date and that compliance responsibilities are met
  • Work closely with Finance, Tax and Payroll on corporate housekeeping and intercompany coordination.
  • Support ad hoc KYC and UBO requests and entity rationalization initiatives.
  • Liaise with Finance, Tax, Compliance, and Treasury on corporate housekeeping and intercompany coordination
  • Support KYC or UBO requests with required entity documentation
  • Continuously improve corporate governance processes and entity management practices
  • Assist with negotiations for SaaS agreements (both Eptura paper and customer paper) across mid-market, enterprise and public sector customers with support where needed.
  • Be actively involved in the ongoing development and improvement of our standard terms, customer-facing legal materials, playbooks and overall approach to negotiation and contracting.
