About The Position

Join a dynamic and collaborative Americas Governance team within Macquarie's Legal and Governance Group, based in our New York office. You will have the opportunity to work on a diverse portfolio of 200+ subsidiary companies across the Americas, with potential exposure to EMEA governance activities, all while contributing to the smooth operation of subsidiary boards and committees within a global corporate governance framework. Requirements

  • 8-10+ years of experience in corporate governance, board operations, or a similar role, preferably with a global financial institution and/or law firm.
  • A legal qualification and/or professional qualification in corporate governance.
  • Strong communication skills and attention to detail.
  • Ability to manage multiple projects in a fast-paced environment.
  • Proficiency with Microsoft Office applications, corporate records, and entity management databases (e.g., Diligent Entities).
  • Strong aptitude for technology and process innovation.
  • Superior project management and organizational skills, with a focus on continuous process improvement and meeting deadlines under pressure.

Responsibilities

  • Organize and facilitate board and committee meetings, ensuring smooth scheduling, agenda preparation, and material distribution.
  • Maintain accurate records of board and committee activities.
  • Draft corporate governance documentation.
  • Manage entity changes such as dissolutions or mergers.
  • Assist with annual shareholder meetings.
  • Monitor compliance with legislation.
  • Respond to entity information requests.
  • Enhance operational processes and workflows, leveraging technology and AI to drive efficiency and effectiveness.

Benefits

  • Salary range for this position: $121,000 - $194,400/Year.
  • Eligibility for an annual discretionary incentive compensation award.
