About The Position

Bristow requires a highly motivated, proactive, and experienced corporate attorney to oversee the Legal Corporate function for the Americas region, with additional overlapping responsibilities for international jurisdictions. This position is responsible for ensuring compliance with Security and Exchange Commission (SEC) requirements, managing corporate governance for numerous subsidiaries, and driving high-stakes financing transactions/debt facilities. A strategic thinker who can balance legal risk with business objectives, the role will manage a paralegal, reporting to the Chief Legal Officer and Corporate Secretary.

Requirements

  • Juris Doctor (J.D.), active member in good standing in at least one State bar
  • At least 5-10 plus years of legal experience in corporate law. A combination of private and in-house experience preferred
  • Corporate law expertise including, transactions, M&A, SEC, contracts and corporate compliance experience required
  • 5 plus years managing para-professionals
  • Experience working in Workiva/W Desk
  • Experience filing in Edgar Next
  • Must have the confidence and ability to work independently in a fast moving and demanding environment
  • Excellent analytical skills and the ability to render persuasive, diplomatic, practical, creative and at all times legally compliant advice in a timely fashion
  • Excellent written and oral communication skills, especially of complex issues and attention to detail and accuracy
  • Must have the awareness to know when to lead and when to be a team player
  • Must work well with internal clients
  • Must be comfortable working with the Board of Directors, preparing Board materials, and conducting Board presentations
  • Must work in a collaborative way to generate win-win situations for all stakeholders
  • Strong supervisory and managerial skills
  • Must possess excellent project management skills
  • Must possess strong negotiation and presentation skills

Responsibilities

  • SEC Compliance, including working with Investor Relations, HR and other departments in reviewing and filing the company’s annual and quarterly reports, proxy statement, Form 4s, 8-Ks and any other SEC filings
  • Assist in the company’s compliance with corporate governance regulations
  • Assist in periodically updating the company’s corporate governance policies and procedures and/or implementing new policies and procedures
  • Assist with quarterly Board and Committee Meetings including in the preparation of materials for such meetings
  • Serve as assistant to Corporate Secretary to support Corporate Secretary as needed
  • Manage subsidiary filings and compliance for Americas regions
  • In collaboration with Treasury, Finance and outside counsel, Review and negotiate documents related to company financial transactions, such as financings and potential mergers, acquisitions and divestitures
  • In collaboration with Treasury, Finance and outside counsel, manage the due diligence process associated with any financings or potential mergers, acquisitions and divestitures
