About The Position

We are looking for an energetic and self-starting Corporate or Commercial Counsel to lead our legal team at Motional. You will be part of a collaborative, innovative team, working on projects that will change the future of mobility. We are a collegial and hardworking team. We provide top notch legal services to our business partners as we work to make driverless vehicles a safe, reliable, and accessible reality. You must be a team player and also capable of working independently in a fast-paced environment. To be successful in this role, you should be proactive, meet deadlines, and communicate effectively. In this role, you will lead our small, but highly capable legal team while providing legal support to various business stakeholders on a variety of cutting-edge legal issues. Legal support includes drafting and negotiating commercial agreements and implementing best practices and procedures. This position also includes Board management on behalf of Motional. You will work cross-functionally with Motional’s Procurement, Operations, Product, Engineering and other teams to drive our corporate and commercial transactions, while also developing strategic business relationships with vendors. The candidate selected for this role will be a crucial hire to our Legal team and will have room for significant growth as our business expands. This role will report directly to Motional’s CEOl.

Requirements

  • 5+ years experience in commercial contracting and providing legal counsel in aspects of the commercial transaction process including reviewing, drafting, and negotiating a variety of commercial agreements.
  • 8+ years of relevant legal experience.
  • JD Degree with a strong academic record.
  • Strong written and oral communication skills, including the ability to communicate effectively with internal clients and colleagues.
  • Experience handling commercial contract disputes.
  • Ability to collaborate effectively with both engineers and outside counsel.
  • Ability and willingness to work across time zones.
  • Flexibility and eagerness to work on a broad range of legal matters.
  • Strong organizational and project management skills; ability to accomplish multiple tasks within agreed upon timeframes through effective prioritization of duties and functions in a fast-paced environment.
  • Self-motivated; able to work both independently and with others to utilize their resources and knowledge to identify high quality solutions.
  • Comfortable with travel (domestic and international) as needed.

  • Experience in autonomous vehicle, automotive, ride-hailing, trucking fleets, electronics-focused or safety-critical technologies.
  • Working knowledge of privacy and/or cybersecurity legal issues.
  • Experience in data licensing.
  • Employment law experience.
  • Strong managerial skills to oversee other team members (paralegals) and assist in implementing company-wide projects (e.g., records management)

Responsibilities

  • Collaborate with the Legal team and cross-functional business teams across Motional to strategize, draft and negotiate a wide variety of commercial and technology agreements in support of both day-to-day business and strategic commercial transactions.
  • Advise on a wide variety of matters, including technology development agreements, supply agreements for goods and services, software licenses, and business partnership agreements.
  • Review, draft, and negotiate a variety of commercial agreements to support our global procurement organization here at Motional.
  • Provide legal counsel and support for general corporate matters including policies and procedures, and corporate filings.
  • Manage the legal team’s day to day which includes oversight of both Commercial and IP matters
  • Board management: attendance of Board meetings, owning Board minutes, and owning materials requiring Board written consent. This role needs to be knowledgeable of our governance documents and advise when needed
