About The Position

The Sr. Director, Legal, Ethics & Compliance is a key position within Winrock International and is responsible for ensuring compliance with laws and regulations and maintaining ethical standards. The Sr. Director, Legal, Ethics, & Compliance serves as the agency's risk management expert, internal consultant and change agent with a strategic business focus. The position focuses on monitoring and updating the organization's formal risk governance framework and providing practical solutions to issues and concerns that impact the organization's ability to fulfill its mission. The Sr. Director helps cultivate and foster a culture of ethics and compliance with the laws within the countries Winrock operates and with Winrock's policies and procedures. The ideal candidate has a Juris Doctor (JD) degree and significant experience in legal practice, with a strong emphasis on ethics, compliance and risk management. This position is a hybrid role with presence required in either Washington, DC area or Little Rock, Arkansas.

Requirements

  • Juris Doctor (JD) degree from an accredited U.S. law school.
  • Minimum of 12 years of relevant experience, experience in a business setting or non-profit settings preferred.
  • Experience with US government contracting helpful.
  • Experience in ethics and compliance including anti-corruption, privacy and internal investigations.
  • Strong leadership and strategic thinking skills.
  • Global travel expected up to 15%.
  • Demonstrated experience with risk management within the context of US government contracting.
  • Management experience of 10+ years.
  • Senior level experience and knowledge of risk management best practices in the public and/or private sector.
  • Leadership level knowledge of complex risk-related financial analysis techniques, applications, records, and reporting.
  • Ability to communicate effectively, brief senior management regarding options and recommendations.
  • Demonstrated ability to lead, manage, and facilitate change.
  • Ability to instill trust and confidence; create a culture that fosters high standards of ethics.
  • Ability to conduct investigations across diverse cultures, while demonstrating cultural sensitivity.

Nice To Haves

  • In-depth knowledge of FAR.
  • Certified Compliance & Ethics Professional (CCEP) or similar type of certification.
  • Ability to quickly develop a strong understanding and knowledge of the major operational functions of Winrock International.

Responsibilities

  • Implement a coordinated approach for identifying, assessing, monitoring, and reporting on risk throughout the organization.
  • Manage the risk oversight process for Winrock International.
  • Conduct internal investigations while ensuring legal oversight within the organization.
  • Create and implement the annual oversight plan and assess the effectiveness of the organization's risk management strategy.
  • Enhance and manage the project risk register and lead the annual enterprise risk assessment.
  • Provide general legal advice to senior management and other departments.
  • Lead and coordinate communication with external legal counsel experts on legal disputes, questions and litigation involving the organization.
  • Ensure that business decisions comply with applicable laws and regulations.
  • Advise on corporate governance matters.
  • Assist in the preparation and conduct of board meetings and support the Board Secretary.
  • Oversee compliance, anti-fraud, waste and abuse, and resolution/follow up functions.
  • Foster a culture of ethics and compliance with the laws where Winrock operates.
  • Update Winrock's established Code of Conduct, Values and continuing training and maintenance of high standards of ethics and integrity across the organization.
  • Lead and provide guidance on ethical considerations and conduct within the organization.
  • Conduct and manage investigations and reports of code of conduct, ethics and other non-human resources policy violations.
  • Establish key risk indicators (KRIs) and monitor them regularly.
  • Prepare and present comprehensive risk reports to the executive team and Board.
  • Report to the chairman of the Audit and Compliance Committee and president/CEO on risk and compliance monitoring activities.
  • Manage incoming hotline reports of concerns and allegations, following up on next steps.

Benefits

  • Salary range between $189,000 and $225,000.
