Ryan seeks an experienced attorney with deep expertise in commercial and technology contracting, particularly SaaS. This role reports directly to the Vice President of Contracts and partners closely with the President of the company’s global software division and the head of global procurement. The ideal candidate combines legal rigor with commercial acumen, commercial gravitas, executive presence, and a pragmatic negotiation style, enabling revenue acceleration while protecting the company’s long-term interests.

  • Draft, redline, and negotiate complex client-facing technology agreements, including SaaS agreements, MSAs, SOWs, SLAs, Data Processing Addenda, Security Addenda, Order Forms, upsells, renewals, and related privacy and security terms.
  • Structure and negotiate reseller, referral, white label, alliance, and design partner agreements.
  • Allocate and negotiate risk across liability caps, indemnities, data breach obligations, and regulatory frameworks in both customer and vendor transactions.
  • Negotiate and manage true-up provisions, ensuring clarity on usage-based pricing, reconciliation rights, and audit processes.
  • Build scalable contracting workflows, playbooks, and fallback positions to streamline revenue enablement.
  • Partner with Deal Desk, Sales, and RevOps to accelerate deal closure without overexposing the business.
  • Implement post-signature discipline, including renewal compliance and upsell triggers.
  • Leverage CLM tools and data-driven reporting to support contract lifecycle management.
  • Provide strategic counsel to product and executive teams on roadmap risks, regulatory awareness (including AI, export control, and tax exposure), and cross-border contracting considerations.
  • Support corporate initiatives including M&A diligence, warranties, integration, and board-level reporting on legal risk and revenue enablement.
  • Juris Doctor, US state bar member in good standing.
  • At least 10+ years of related work experience (buy-side and sell-side).
  • Technology procurement experience, including negotiating MSAs, implementation SOWs.
  • Proven track record in risk allocation, revenue enablement, and global contracting.
  • CIPP certification.
  • Private-sector law firm and in-house experience.
  • Experience with GDPR, CCPA, HIPAA, SOC 2, data governance, and security laws.
