The Senior Counsel provides senior‑level legal support to business and functional partners across the organization. This role delivers practical, risk‑based legal guidance in areas including employment law, commercial contracting, and dispute management, with support on select strategic initiatives as assigned. The Senior Counsel balances hands-on legal execution with leadership, judgment, and influence, ensuring legal strategies align with organizational objectives, risk tolerance, and regulatory requirements. This role partners closely with senior leaders, manages complex and high impact legal matters, and oversees the effective use of outside counsel.

Requirements

  • Juris Doctor (JD) from an accredited law school
  • Significant progressive legal experience, including experience in one or more of the following: corporate transactions, employment law, commercial contracting, and litigation management
  • Experience advising senior leaders and managing complex, high-risk legal matters ‑risk legal matters
  • Active license to practice law in at least one U.S. jurisdiction (California preferred or ability to obtain)

Responsibilities

  • Corporate Development & Strategic Transactions Provide legal support and support for corporate development activities, including mergers, acquisitions, divestitures, joint ventures, strategic partnerships, and other complex transactions.
  • Lead legal due diligence efforts, identify and assess legal risks, and advise on transaction structure and risk mitigation strategies.
  • Draft, review, and negotiate transaction documents, including purchase agreements, ancillary agreements, and post closing obligations.‑closing obligations.
  • Partner with executive leadership, finance, strategy, and external advisors to support growth and transformation initiatives.

  • Advise on policies, programs, and practices related to hiring, compensation, benefits, leaves of absence, accommodations, investigations, and terminations.
  • Support organizational change initiatives, including restructurings and reductions in force, ensuring legal compliance and thoughtful risk management.
  • Collaborate with P&E partners to proactively identify and mitigate employment related risks.‑related risks.
  • Vendor & Commercial Contracting Oversee and support the drafting, review, and negotiation of a broad range of commercial agreements, including vendor, supplier, technology, professional services, and strategic partner contracts.

  • Develop and maintain contract standards, templates, and playbooks to promote consistency, efficiency, and compliance.
  • Advise on contract interpretation, disputes, and performance issues, partnering with business leaders to resolve matters effectively.
  • Litigation & Dispute Management Lead and manage litigation, arbitration, and other disputes involving the organization, including employment, commercial, regulatory, and other matters.
  • Develop litigation and dispute resolution strategies aligned with business objectives and risk tolerance.
  • Select, retain, and manage outside counsel, including oversight of budgets, performance, and outcomes.
  • Coordinate internal resources to support discovery, investigations, and resolution efforts, ensuring accurate and timely information flow.
  • Leadership, Risk Management & Governance Act as a trusted legal advisor to senior leaders, providing clear, concise, and actionable guidance on complex legal issues.
  • Identify emerging legal and regulatory risks and recommend proactive strategies to address them.
  • Contribute to the development and implementation of legal policies, procedures, and best practices.
