What is the opportunity? As a Senior Counsel, you will be a key member of RBC’s Procurement Legal Team. You will provide advice and guidance to Royal Bank of Canada and its global subsidiaries with respect to third party procurement transactions, with an emphasis on SaaS and software licensing, hardware and equipment purchases, and professional services or consulting services arrangements typical in the financial services industry. You will also provide advice to procurement, business and functional partners on contract interpretation, legal risks and mitigation strategies associated with third party procurement transactions. What will you do? Advise RBC and its subsidiaries on structuring and documenting complex third-party transactions involving technology and non-technology products, intellectual property licensing, information systems and services (including software, SaaS and data license agreements, cloud services, professional services, outsourcing arrangements, telecom arrangements, subscription)); Advise business and functional units on contract interpretation, legal risks and mitigation strategies associated with third party contracts, and general supplier engagement and relationship issues; Partner with RBC’s stakeholders and functional groups (e.g., Privacy; Third Party Risk; Tax; Model Risk, etc.) to develop and/or update RBC’s template standards and fallback positions, ensuring such requirements are consistent with applicable laws, regulations and regulatory guidance and aligned with market standards and best practices; Stay abreast of applicable third party and transactional laws, regulations and guidance; and provide training to business and functional partners as needed; Assist in the development and ongoing refinement of RBC’s third-party templates; and Perform legal research and draft memoranda of law, as required. What do you need to succeed? Must-have Law degree (LLB or JD) from a recognized law school; Valid license to practice law in the jurisdiction where you will work; 7+ years’ experience in corporate commercial contract drafting and negotiating at a top tier law firm or major corporation; Strong foundational knowledge of substantive third party commercial and legal terms (e.g., confidentiality; indemnities; limitations of liability; intellectual property); Strong communication skills (written and verbal) and ability to build relationships across multiple areas of the business; Ability to work with a high degree of autonomy, handle large volumes of work and balance competing demands; and Ability to assess legal risk, identify mitigating strategies, and interpret those for distribution to business clients. Nice-to-have In-house experience at a large, multi-national bank or diversified financial institution or experience representing large, multi-national bank or diversified financial institutions as external counsel. Understanding of regulations applicable to financial institutions as they relate to third party engagements (e.g., privacy/cybersecurity, anti-money laundering, consumer banking) What’s in it for you? For New Jersey/New York: The expected salary range for this particular position is $200,000-260,000, depending on your experience, skills, and registration status, market conditions and business needs. For Minnesota: The expected salary range for this particular position is $150,000-200,000, depending on your experience, skills, and registration status, market conditions and business needs.
