About The Position

Shaping Governance for an Iconic Portfolio of Brands Leading Securities, Disclosure, and Board Strategy at Scale Gap Inc. is a global house of brands—including Old Navy, Gap, Banana Republic, and Athleta—focused on shaping culture through style, creativity, and innovation. As the company continues to evolve as a high-performing portfolio, its legal team plays a central role in enabling strategic execution and ensuring strong governance at scale. Gap Inc. is hiring a Senior Counsel, Governance and Securities to support its Corporate & Finance Law Group and Corporate Secretary function. This role partners closely with senior leadership, Finance, Investor Relations, and Communications to guide securities law compliance, disclosure strategy, and corporate governance. The position will lead key public company responsibilities, including SEC filings, proxy statement preparation, and shareholder engagement, while advising on earnings materials and public disclosures. You will support the Board of Directors and its committees, manage governance processes, and provide counsel on executive compensation, equity programs, and Section 16 matters. In addition, the role will advise on treasury-related initiatives, sustainability disclosures, and corporate policies, helping ensure the company operates with clarity, consistency, and compliance across a complex, global organization. The ideal candidate brings deep experience in securities law and public company governance, strong judgment, and the ability to translate complexity into clear, actionable guidance. You are comfortable working cross-functionally with senior stakeholders, balancing legal risk with business priorities, and contributing to a fast-moving, high-impact environment.
