The Senior Counsel, Corporate & Securities role reports to the Deputy General Counsel. We are seeking an attorney with experience in corporate and securities matters for public companies, along with experience in debt financing, corporate entity management, mergers and acquisitions, and related areas. Candidates should have experience handling public company securities matters and contributing to the drafting and revision of ’33 Act and ’34 Act filings.

Requirements

  • Law degree and active state bar membership.
  • 3–6 years of experience at a law firm or in a corporate law department, including SEC compliance and corporate governance work for public companies.
  • Experience advising U.S.-based multinational corporations on complex matters.

Responsibilities

  • Coordinate and support SEC reporting and compliance activities in collaboration with Alight’s finance department, including preparation and filing of Forms 8-K, 10-Q, 10-K, proxy statements, annual reports, registration statements, and Section 16 reports.
  • Work with Alight’s investor relations department to assist in preparing and reviewing press releases, earnings call scripts, investor presentations, marketing materials, materials provided in response to media inquiries, and corporate website content for SEC and corporate governance compliance.
  • Serve as a liaison with the company’s transfer agent.
  • Support activities related to the Company’s annual stockholders’ meeting.
  • Support debt financing activities, including coordination of credit agreement amendments and related treasury department processes.
  • Identify, develop, and implement process improvements.
  • Assist in preparing training materials and delivering training on relevant topics.
  • Provide legal analysis and prepare presentations, reports, research memoranda, and other documentation.
  • Perform additional corporate responsibilities as assigned.
