Requirements

  • Juris Doctor; licensed to practice law in a PMI jurisdiction
  • 8-10 years of experience in securities, corporate, and transactional law
  • Experience in both in-house and major law firm settings preferred
  • Strong understanding of government policy and regulatory frameworks
  • Exceptional interpersonal, communication, and leadership skills
  • Proven strategic thinking and sound judgment
  • Ability to manage complex projects and lead cross-functional teams
  • High attention to detail and confidentiality
  • Willingness to travel as needed
  • Deliver high-quality legal counsel aligned with business goals
  • Maintain confidentiality and handle sensitive information with care

Responsibilities

  • Lead legal support for SEC filings (Forms 10-K, 10-Q, 8-K)
  • Conduct research and provide guidance on SEC, NYSE, and corporate governance matters
  • Advise on corporate governance and transactional issues for U.S. entities and subsidiaries
  • Support shareholder engagement and governance-related research
  • Maintain corporate records, including resolutions, consents, and certificates
  • Administer legal documentation and data for U.S. subsidiaries
  • Proactively identify legal risks and develop mitigation strategies
  • Draft and review legal documents with clarity and precision
  • Stay current with legal trends and implement best practices
  • Maintain high ethical standards and elevate issues appropriately
  • Understand key business drivers and industry dynamics
  • Communicate legal concepts in accessible language
  • Provide strategic, innovative, and practical legal solutions
  • Manage multiple priorities in a fast-paced environment
  • Demonstrate initiative, urgency, and accountability
