This is a full-time salaried position: Monday - Friday, 1st shift. Hybrid expectation out of Somerset, NJ. The mission of the Legal & Compliance Department is to provide Catalent with world-class legal services in order to help the company grow and achieve its business goals. It does so by ensuring that the advice given and services provided are strategic, timely, practical, cost-effective, and meet the highest legal, ethical, and professional standards. The department is located at corporate headquarters in Somerset, New Jersey, with personnel in the United Kingdom, Switzerland, Argentina, and Brazil. Areas of expertise within the Legal & Compliance Department include general commercial law, ethical and regulatory compliance, intellectual property, corporate governance, labor and employment, litigation, and mergers and acquisitions. The Catalent Legal & Compliance Department seeks to add a Senior Corporate Paralegal to provide support in all aspects of board matters, corporate governance and mergers and acquisitions. The Senior Corporate Paralegal will be a key member of the department, reporting and providing direct support to the company's Corporate Counsel in supporting corporate governance, subsidiary management, board matters, and securities reporting, as well as providing support as needed to other attorneys and business personnel. The Senior Corporate Paralegal will liaise as needed with other support and business functions to resolve issues. Requirements

  • Associate's degree, required; Paralegal Certificate preferred.
  • Minimum five+ years of corporate paralegal experience with a corporate legal department and/or law firm.
  • Life science experience, preferred.
  • Proficient in Microsoft Office applications, with capability and willingness to become proficient in all of the Company's matter and contract management system.
  • Strong organizational skills with the ability to prioritize and manage multiple time-sensitive projects simultaneously.
  • Excellent written and oral communication skills.
  • Strong interpersonal skills, including diplomacy and flexibility, and the ability to interface effectively with personnel at many different levels throughout the Company.
  • Ability to maintain the integrity of confidential and sensitive information in a professional manner.

Responsibilities

  • Manage Company's corporate subsidiaries, including preparing minutes of stockholder and board of directors meetings, completing stock certificates, and maintaining web-based corporate records database.
  • Prepare corporate documents/materials, including documents required to form corporations, and amendments, withdrawals, mergers and dissolutions of corporations.
  • Support corporate transactions and with the preparation of documents necessary to comply with federal, state and local regulations relating to governance and the maintenance of the corporate form, including corporations, joint ventures, LLCs and similar entity types in the U.S. and around the world.
  • Develop thorough understanding and knowledge of Catalent's legal technology and software initiatives, including e-billing, e-signature, and contract administration systems, as well as assist in evaluating and implementing other software as future needs require.
  • Work with Catalent's tax department and external auditor relating to audits of Board of Directors minutes and meeting materials.
  • Work with Catalent's treasury department relating to corporate banking matters, including preparing resolutions for parent and subsidiary banking procedures.
  • Support the activities of Catalent's Board of Directors.
  • Work with Catalent's transfer agent to maintain the company's stock ledger, including all related recordkeeping for equity plan issuances and forfeitures.
  • Liaise with external service providers as necessary.
  • Serve as general resource/back-up for other Legal Department team member.
  • Other duties as assigned.
