Your Role at impact.com: Primary Function: The primary function of the Senior Corporate Counsel is to provide legal advice on a broad range of corporate, commercial, and transactional matters, while working cross-functionally with various teams throughout the company. The Senior Corporate Counsel is responsible for drafting and negotiating agreements (using existing templates, improving or creating templates, drafting terms and/or contracts for unique deals and third party paper), and for advising business teams as a partner in achieving the Company’s objectives. This role will also support our corporate, Board, securities, compliance, and M&A (Mergers and Acquisitions) functions, and HR teams. The Senior Corporate Counsel is expected to work closely with key stakeholders across the Company, to play an important role in executing on strategic business goals and initiatives, and to provide practical legal advice to internal clients. The Senior Counsel will also be responsible for protecting the Company’s interests, including through mitigating risk and liability, in areas such as confidential information, intellectual property, and revenue. This role requires a lot of discretion, self-confidence, flexibility, and adaptability.

Requirements

  • JD and admission to a state bar in the jurisdiction in which you practice in good standing (or eligibility to practice as an in-house counsel based upon your state bar qualification), with preference for New York Bar
  • 3+ years of experience at a major law firm, with in-house experience a plus
  • Experience in complex SaaS agreements and M&A transactions
  • An independent, self-motivated individual who works well under pressure with a positive, service-oriented attitude
  • Self-starter with a great work ethic and an analytical thinker with superior problem solving and decision-making skills
  • Extremely detail-oriented and organized with prior experience having managed, structured and negotiated legal agreements, sent and collected required signatures from relevant parties, ensuring an efficient and timely closing process
  • Ability to effectively multi-task with stellar time and project management skills; understands the importance of planning in advance to meet deadlines that include multiple review points and iterations
  • Strong communicator, both written & verbal; reliable and responsive to email and phone communications
  • Highest level of integrity and good judgment, with the ability to effectively deal with highly sensitive, confidential information
  • Strong computer skills, including high degree of comfortability using GSuite and Microsoft products

Responsibilities

  • Draft, review, and negotiate legal agreements with strategic partners, including with respect to contracts and other agreements with customers, partners, and resellers.
  • Advise on a broad range of commercial issues, including corporate governance, legal and regulatory compliance, capital raises, and business growth (international expansion, M&A, etc.);
  • Assisting with HR matters at all levels of the Company (Board Advisors, executives, employees and independent contractors);
  • Facilitating strategic relationships on behalf of the Company by advising on deal structuring, drafting custom terms and conditions, negotiating terms and ensuring that the deals that are concluded are in accordance with the Company’s pricing and authority matrix;
  • Coordinate with outside counsel, including managing services and expenses: partner when needed to handle complex legal and regulatory issues spanning a variety of topics.
  • Provide subject matter support for privacy, including assisting with drafting policies, procedures, templates and negotiating with clients.
  • Provide support to the Company’s other legal teams and functions as needed,
  • Prepare, review and update, as applicable, corporate policies and regulatory compliance.
  • Perform ad-hoc legal administrative tasks as needed.
  • Preparing materials for Board Meetings, the corporate secretary function and maintaining and managing the Company’s cap table; and
  • Navigating continuously developing compliance programs around the globe;
  • Collaborating cross-functionally and developing new processes and procedures to support internal clients; and
  • Other duties as assigned by the Company.
