About The Position

Vireo Growth Inc. is seeking an experienced and business-oriented Senior Corporate Counsel to lead and support the company’s mergers, acquisitions, divestitures, strategic investments, and other corporate development initiatives. This role will serve as a key legal advisor to executive leadership, corporate development, finance, and business teams, ensuring transactions are executed efficiently and in compliance with applicable laws and regulatory requirements. This role will report directly to the General Counsel. The ideal candidate brings strong transactional expertise, sound business judgment, and the ability to manage complex cross-border deals in a fast-paced public company environment.

Requirements

  • J.D. from an accredited law school and active bar membership in good standing
  • 6–12+ years of M&A experience at a leading law firm and/or in-house at a public company
  • Significant experience leading complex domestic and cross-border transactions
  • Strong understanding of U.S. securities laws and public company disclosure requirements
  • Experience with regulatory filings (e.g., HSR, foreign competition filings)
  • Excellent drafting, negotiation, and project management skills
  • Ability to balance legal risk with commercial objectives
  • Strong executive presence and communication skills

Responsibilities

  • Lead and manage all legal aspects of mergers, acquisitions, joint ventures, minority investments, divestitures, and strategic partnerships
  • Structure, draft, review, and negotiate transaction documents, including:
  • Letters of intent and term sheets
  • Purchase and merger agreements
  • Disclosure schedules
  • Shareholder and investor agreements
  • Transition services agreements
  • Oversee legal due diligence processes and coordinate internal and external resources
  • Advise on public company considerations, including:
  • Securities law compliance
  • Disclosure obligations
  • Partner closely with Finance on deal structuring, integration planning, and risk assessment
  • Manage external counsel across multiple jurisdictions
  • Advise on antitrust, competition, foreign investment, and regulatory approvals
  • Support post-closing integration and dispute resolution matters
  • Assist with other corporate governance and strategic initiatives as needed
