About The Position

Serve as legal partner to SourceBlue leadership and operations teams on commercial transactions, supply chain strategy, contract negotiations, and related business practices and policies. Provide transactional guidance and support and support project related matters as needed.

Requirements

JD degree with a valid law license.
Minimum of 8 years’ experience with an emphasis on commercial transactions, procurement, supply chain, construction-related transactions preferred, or an equivalent combination of education, training and/or experience.
Demonstrated experience negotiating complex commercial agreements and advising business teams on risk allocation and transaction structuring required.
Operates at an accelerated performance level with ability to prioritize many simultaneous complex and competing demands activities, requests, and short-cycle deadlines.
Ability to work across functional lines and all levels within organization.
True collaborator, maintain balanced view of business and effectively challenges senior management, providing candid, honest assessment.
Supervisory/management of small team preferred.
Proven written and verbal communication abilities with emphasis on problem solving and negotiation, with ability to explain complex legal concepts to employees and staff at all levels.
Proficiency with computer applications, including Microsoft Office suite, and various legal case management systems.
Ability to read, understand, and interpret complex commercial contracts and related risk allocation provisions.
Demonstrated interpersonal skills and ability to work with staff at all levels, both internal and external.
Ability to travel.

Responsibilities

In coordination with SourceBlue leadership, prepare, review and negotiate complex commercial agreements, including supply, procurement, manufacturing, logistics, technology and service agreements on behalf of SourceBlue.
Lead and execute all stages in the commercial contract life cycle, including transaction structuring, risk allocation strategy, negotiating, drafting, closing, and any post-contract administration support.
Ensure that all contracts accurately reflect business objectives as well as compliance with all federal, state, local laws and regulatory requirements.
Negotiate strategic sourcing arrangements, framework agreements, vendor programs, and, where applicable, teaming and joint venture agreements and perform related due diligence.
Support resolution of contract disputes and performance issues in collaboration with operations and risk management.
Advise on contract modification, amendments, pricing adjustments, major change orders, and waivers/releases.
Identify contractual noncompliance by suppliers, vendors, and elevate to leadership for risk mitigation strategies.
Develop and implement contracting standards, template agreements, and supply chain risk policies in support of strategic initiatives in collaboration with senior management.
Develop and maintain internal relationships and provide coordination and oversight with outside counsel when necessary.
Assist in the development of best practices related to commercial contracting, procurement risk allocation, and supplier engagement.
Prepare and deliver legal training to SourceBlue teams on contracting strategy, risk allocation, and compliance topics.
