In conjunction with the General Counsel and the Vice President, Associate General Counsel, the Senior Corporate Counsel’s primary focus will be intellectual property (IP), artificial intelligence (AI), data governance, and technology including procurement and commercialization. The Senior Corporate Counsel will provide general support to the company’s Product, AI & Data Governance, Information Security, and Technology departments as well as business unit leaders responsible for commercializing data and/or technology offerings and the company’s internal Legal department and must have expertise in technology, software, AI, and commercialization. Location: Candidates must currently reside in the continental United States with close proximity to a major airport; and have the ability to travel as needed to our corporate office in Indianapolis, IN and to meetings, conferences, client sites, etc. Applicants can expect a compensation range of $210,000-$260,000 for this opportunity. This is the reasonable estimate that TRIMEDX believes it might pay for this particular job based on applicable circumstances at the time of posting. TRIMEDX may ultimately pay more or less than the posted range as permitted by law, and commensurate with the applicant’s experience and qualifications. Requirements

  • A member of the patent bar or an attorney with extensive management of outside patent counsel is preferred.
  • International experience is preferred.
  • Experience in corporate legal management and counseling is required.
  • Experience in IP, AI, data governance, and technology transactions and counseling is required with demonstrated experience with patent strategy and emerging technologies including AI, SaaS, and data systems; patenting and otherwise protecting software and technology assets must have been a primary component of prior practice.
  • Ability to independently, effectively, and efficiently take initiative, address array of issues, and negotiate/draft contracts.
  • Proven ability to partner with internal business leaders with enhanced focus on product and technology teams; supporting product and technology teams must have been a primary component of prior practice.
  • Ability to coordinate outside legal services including developing flexible billing arrangements and streamlined processes.
  • Must have strong integrity and business ethics.
  • Must have high-level organizational and problem-solving skills and strong and effective judgment and decision making.
  • Must be comfortable working in a fast-paced, team environment and providing regular reporting.
  • Must have working knowledge of Microsoft Office applications.
  • Must have strong written, verbal and presentation skills.
  • Juris doctorate from an ABA accredited law school with accompanying state licensure.
  • At least 6 years’ corporate law experience.
  • Relevant experience in the areas of corporate counseling, IP, AI, data governance, and technology transactions.

Responsibilities

  • Develop and execute strategies to protect and expand the company’s IP portfolio, including patents, trade secrets, and copyrights.
  • Collaborate with engineering and product teams to identify and assess innovations for patentability; oversee outside counsel on filings.
  • Provide in-depth expertise related to technology and IP strategies including assessing underlying technologies used in development, managing regular intake and assessment process for protectable inventions, and overseeing outside counsel in drafting IP applications.
  • Ensure IP, confidentiality, and data ownership provisions are appropriately addressed in contracts.
  • Serve as primary point of contact for company’s IP Council which serves as cross-functional committee for creating awareness, providing training, and overseeing continuous improvement of company’s IP strategy.
  • Manage international IP practice and portfolio.
  • Lead outside counsel IP relationships including negotiating flexible billing arrangements and establishing streamlined processes.
  • Counsel internal teams on legal and ethical considerations around AI and machine learning systems.
  • Advise on emerging AI regulatory frameworks (e.g., NYC Local Law 144, Colorado AI Act, GDPR Article 22).
  • Support responsible AI governance, documentation, audit readiness, and internal risk policies.
  • Assist IT and data teams with software procurement, SaaS licensing, and data infrastructure matters.
  • Lead AI framework team for assessing and managing AI deployment.
  • Provide legal guidance to product, data, and business teams on the commercialization of AI models, software platforms, and proprietary datasets.
  • Draft, negotiate, and advise on key technology, licensing, and co-development agreements.
  • Evaluate business models and go-to-market partnerships for risk, IP protection, and alignment with legal policies.
  • Structure and support strategic alliances and API/data monetization frameworks.
  • Advise on corporate governance, subsidiary management, internal policies, and general corporate matters.
  • Support M&A activity, investments, and internal reorganizations as needed.
  • Assist in compliance with legal and regulatory obligations related to innovation and digital services.
  • Build trusted relationships with product, compliance, procurement, and operations teams.
  • Deliver internal training on legal topics including IP protection, AI governance, and data use.
  • Help develop scalable legal workflows for growth and efficiency.
  • Support miscellaneous legal needs (e.g., oversight of self-service contracting, review of miscellaneous agreements such as event and/or lodging agreements, and other related matters)
  • Assist as needed with overall legal department responsibilities, including management of internal legal responses in accordance with agreed-upon response metrics.
  • Assist with legal education presentations to internal business partners.
  • Lead continuous improvement of legal department’s own AI usage to deliver enhanced benefits for legal team and company.
