As a Senior Corporate Counsel, Commercial, located in Minneapolis, MN, San Francisco, CA, or Birmingham, AL, you will support and scale our commercial legal function. You will be responsible for leading complex transactions, supporting procurement operations, managing contract lifecycle workflows, and advising on third-party risk, data use, and vendor governance. This is a key legal role supporting high-growth operational teams including Growth, Procurement, Marketing, Technology, Finance, Product, and Operations. You’ll partner cross-functionally to negotiate strategic deals, design scalable legal workflows, and serve as a trusted advisor on contracting best practices. While no two days are the same, you will draft, review, and negotiate a broad range of commercial contracts, including retail partner agreements, SaaS, technology, logistics, advertising agency agreements, and professional services agreements. You will serve as legal lead for procurement and vendor contracting strategy, including onboarding, due diligence, and ongoing vendor management. You will also own and enhance CLM operations, including template governance, fallback positions, approval matrices, and clause libraries. You will lead legal review for third-party partnerships, collaborations, and co-branded offerings. You will advise stakeholders on key legal risks related to contract terms, data privacy, security, indemnity, and limitation of liability. You will also develop legal enablement tools, trainings, and scalable contract playbooks and will partner with InfoSec, Compliance, and Privacy teams on third-party risk frameworks and data-sharing requirements.   • You have a J.D. from an accredited law school and are admitted to practice in at least one U.S. jurisdiction.
  • You have 8+ years of legal experience with a strong focus on commercial transactions and vendor contracting, preferably with some in-house experience. This includes drafting, reviewing, and negotiating a broad range of commercial contracts, including SaaS, technology, logistics, advertising agency agreements, and/or professional services agreements.
  • You have a deep understanding of commercial negotiation, operational contracting, and business risk allocation, including advising stakeholders on key legal risks related to contract terms, data privacy, security, indemnity, limitation of liability, and regulatory issues impacting vendor relationships.
  • You have experience working cross-functionally with non-legal stakeholders in fast-paced environments, including Procurement, Finance, IT, and Marketing.
  • You have strong written and verbal communication skills with attention to detail and a collaborative mindset, with experience developing and delivering legal enablement tools, trainings, and scalable contract playbooks as well as identifying process improvements and driving automation opportunities in commercial legal workflows.
  • You are familiar with CLM tools (e.g., Lexion, Ironclad, Docusign CLM) and contract automation frameworks
