About The Position

Contract Management: Contract Associate II, Vendor Contracting The Contract Associate II is responsible for performing the vendor contracting function and overseeing the full lifecycle of vendor agreements—from drafting and negotiation through execution, renewal, and termination. This role is ideal for an individual who brings hands-on experience in contract administration and can serve as a team lead with a collaborative mindset. This role acts as a key liaison among the Law Department, Procurement, and business stakeholders to ensure that contracts are compliant, risk-mitigated, and aligned with business needs. The Contract Associate II provides both strategic and hands-on support by drafting contracts, reviewing redlines, and managing vendor paper, while also driving operational excellence and consistency across the contracting process.

Requirements

  • High school diploma or equivalent required; Associate’s degree or above preferred
  • Minimum 2+ years of relevant experience
  • Demonstrated experience drafting and negotiating contracts, including reviewing redlines and vendor-provided documents strongly preferred
  • Organization skills and having the ability to adapt to high pressure situations is a must.
  • Good communication skills, verbal and written, necessary.
  • Experience with Microsoft Office and Adobe
  • Ability to change directions in workload based on required timeframes.
  • Must have the ability to work independently, and as a team, with little to no supervision.

Responsibilities

  • Team Development Provide coaching and training for new hires on contracting policies and best practices.
  • Contract Management, Drafting & Negotiation Facilitate all phases of the vendor contracting process to ensure timely and accurate execution of agreements.
  • Draft and prepare contracts using pre-approved corporate templates, ensuring consistency and adherence to company policies and risk standards.
  • Review, analyze, and negotiate vendor-provided contract documents (“vendor paper”) to align with company requirements and minimize legal and commercial risk.
  • Review and respond to redlines and proposed revisions to company templates, coordinating with the Law Department as needed for escalations or non-standard terms.
  • Collaborate with the Law Department and business stakeholders to ensure contracts accurately reflect business intent, operational needs, and compliance obligations.
  • Maintain and update template libraries, clause banks, and contracting playbooks in partnership with the Law Department.
  • Provides escalation assistance for redlines outside of pre-approved optional language.
  • Secures contract signatures, returns executed documents to the client and returns contracts to corporate teams.
  • Loads final documents into the contract management system.
  • Collaboration with the Law Department and Business Teams Serve as the primary liaison between the contracting function and the Law Department team to facilitate reviews, escalate complex issues, and align on contract language and risk positions.
  • Partner with the Law Department to interpret contractual terms, resolve disputes, and ensure adherence to applicable laws, regulations, and internal standards.
  • Work closely with business units to understand vendor requirements, operational objectives, and service expectations to translate them into contractual terms.
  • Advise internal stakeholders on contract structure, process, and risk considerations.
  • Conduct training and provide guidance to business teams on contracting best practices, processes, and policies.
  • Vendor Governance & Compliance Partner with Procurement, Law Department, Risk Management, and Compliance teams to support vendor due diligence, onboarding, and ongoing monitoring.
  • Ensure all contracts are executed and stored in compliance with company recordkeeping and data integrity requirements.
  • Track key contract obligations, renewals, and compliance milestones.
  • Support internal and external audits related to vendor management and contracting.
  • Process Optimization & Reporting Continuously improve contracting workflows, standard operating procedures, and turnaround times.
  • Utilize contract lifecycle management (CLM) systems and reporting tools to track and monitor contracting activity, cycle times, and bottlenecks.
  • Develop and deliver metrics and dashboards to provide visibility into contracting performance, risk exposure, and vendor compliance.
  • Identify opportunities to increase efficiency, reduce cost, and improve contract quality.
