About The Position

Freshworks is looking for a Senior Commercial Counsel to join our growing global legal team and play a critical role in supporting our North America business. In this role, you'll serve as a strategic legal partner to revenue and operations leaders, owning complex commercial transactions and helping scale contracting processes in a fast-growing SaaS company. You'll work closely with Sales, Channels, Customer Success, Finance, and other cross-functional teams to enable deals, manage risk, and support continued growth — all while delivering practical, customer-friendly legal guidance. This role reports to the VP of Legal and offers meaningful visibility, autonomy, and impact. This is an excellent opportunity for an experienced commercial attorney who enjoys being close to the business, thrives in high-velocity environments, and wants to help shape how legal supports scale. Please note this is a hybrid role with onsite expectations of 3x/week (Tuesday - Thursday) from our San Mateo, CA headquarters.

Requirements

  • 8+ years of experience as a transactional attorney, ideally in-house at a SaaS or technology company and/or at a leading law firm
  • Deep experience negotiating and advising on SaaS agreements, partner and channel contracts, vendor agreements, DPAs, and professional services agreements
  • Strong working knowledge of commercial contracts, intellectual property, and data privacy regulations, with the ability to translate legal risk into actionable business advice
  • Proven ability to manage multiple priorities, handle ambiguity, and operate independently in a fast-paced environment
  • Excellent communication skills and comfort collaborating with senior stakeholders across functions and time zones
  • Track record of building strong cross-functional relationships and operating as a solution-oriented partner
  • JD from an accredited U.S. law school and active license to practice law in California

Responsibilities

  • Own Complex Commercial Transactions
  • Lead the drafting, review, and negotiation of a wide range of commercial agreements, including enterprise SaaS, channel and reseller, marketplace, professional services, vendor, and data protection agreements.
  • Support high-value, non-standard, and strategic deals with a strong balance of risk awareness and business pragmatism
  • Act as a Strategic Business Partner
  • Serve as a trusted advisor to Sales, Channels, Customer Success, Sourcing, and other stakeholders on deal structure, risk trade-offs, and contracting strategy
  • Provide clear, practical guidance that enables the business to move quickly and confidently
  • Scale Legal Processes
  • Build, refine, and maintain commercial templates, playbooks, and workflows that improve efficiency, consistency, and speed across North America.
  • Partner with Deals Desk, Finance, and Operations to streamline contracting and support predictable deal execution
  • Collaborate Globally
  • Work closely with legal colleagues across regions to ensure alignment on commercial standards, policies, and best practices
  • Share knowledge and help drive consistency while remaining responsive to local business needs
  • Advise on Compliance & Risk
  • Stay current on relevant legal and regulatory developments related to IP, data privacy, security, and commercial contracting
  • Apply legal insight in a practical, business-oriented way across multiple jurisdictions
