Requirements

  • 3 years of total work experience in financial services, with experience related to corporate governance matters preferred.
  • Bachelor's degree or the equivalent combination of education and experience is required.
  • The ability to prioritize, analyze, and resolve complex issues under time pressure while maintaining consistent attention to detail.
  • Strong verbal and written communication skills, including the ability to synthesize complex information and convey it in a clear and concise manner to senior-level audiences.
  • Familiarity with emerging trends in corporate governance, shareholder activism, and their impact on proxy voting matters.

Responsibilities

  • Support data gathering, benchmarking, and reporting to inform voting decisions and policy positions.
  • Review and analyze proxy materials, including annual proxy statements, shareholder proposals, and related filings.
  • Work with internal leaders to develop and maintain BNY's corporate governance policies.
  • Develop expertise of the proxy voting infrastructure and be able to answer questions and address problems that may arise in the submission of proxy votes.
  • Monitor proxy voting operations to ensure all accounts are voted as intended and are in accordance with the appropriate guidelines.
  • Conduct and facilitate external engagement meetings to convey BNY's philosophies and strategies on priority topics.
  • Monitor changes in SEC regulations and corporate governance standards, providing updates and guidance to senior leaders on how new rules or proposed changes may affect BNY's proxy voting policies.
