About the position

Population Services International (PSI) is seeking professional legal and corporate services to navigate the complexities of governance and entity registration in Ethiopia, particularly concerning income-generating entities and private companies. The selected legal counsel will provide insights and recommendations on maintaining or restructuring PSI's operations in Ethiopia to align with local regulations while preserving its tax-exempt status.

Responsibilities

  • Review PSI's Income Generating Activities in Ethiopia.
  • Conduct a legal landscape analysis in Ethiopia regarding the existing structure versus becoming a foreign subsidiary of Viya Enterprises LLC.
  • Provide options and recommendations for the foreign subsidiary with a comparison of the existing structure and new entities in terms of governance, tax structures, and legal requirements.
  • Highlight the recommended entity type and assess the risks and benefits of Viya Enterprises as the owner compared to PSI itself.
  • Evaluate considerations for transferring or licensing brands/assets to the new entity and the tax implications of such actions.
  • Assess restrictions or risks related to employee transfers from the NGO to the new entity, including necessary notices and contracts.
  • Advise on intercompany agreements and the sharing of office space between NGO and SBU entities under Viya Enterprises.
  • Clarify limits on foreign currency remittance and compliance procedures for profit extraction from local entities.

Requirements

  • Experience in governance and entity registration in Ethiopia.
  • Knowledge of legal and tax implications for non-profit organizations and their subsidiaries.
  • Ability to conduct comprehensive legal landscape analyses and provide actionable recommendations.
