About The Position

As a Purchase Agreement Advisory Senior Associate, you'll focus on the accounting aspects of middle-market transactions, serving dynamic organizations with experienced professionals who bring a full range of advisory services to validate, optimize and create value for the Transaction Advisory Practice - all with the resources, environment, and support to help you excel. Our Purchase Agreement Advisory team works alongside our diligence team to advise buyers and sellers on the accounting and financial aspects of purchase agreements. We give guidance on accounting/financial price adjustments and key accounting value drivers (working capital, cash, indebtedness) in purchase agreements, as well as the accounting representations and warranties, earn-outs, accounting dispute resolution clauses, and the financial definitions underpinning agreements. You will play a key role in the latter stages of the deal process, for multiple clients in a wide variety of industries. Work closely with financial diligence partners and staff and play a key role in growing this service offering. The role will include exposure to numerous transactions per year. Requirements

  • Bachelor's degree in Accounting or related field required, advanced degree preferred.
  • 2 to 6 years of related work experience in a similar consulting practice or function servicing cross-industry clients at a national level required.
  • CPA preferred or CPA in process preferred.
  • Solid experience in the following: accounting, audit, or transaction advisory services.
  • Strong current knowledge in US GAAP, GAAS, SEC Reporting, transaction advisory services or mergers and acquisitions required.
  • Ability to manage multiple priorities and simultaneous projects in a rapidly growing practice.
  • Strong leadership, business development, recruitment, training, and mentoring skills.
  • Excellent written, presentation, leadership, and interpersonal communication skills.
  • Prior relevant consulting experienced preferred.
  • Can travel as needed. Expected travel is up to 25%.

Responsibilities

  • Review the accounting aspects of M&A documents.
  • Prepare / review accounting principles exhibits, drafting accounting language for each deal.
  • Understand and explain accounting matters to our clients and their legal counsel.
  • Prepare corresponding financial analysis and illustrations.
  • Collaborate with our financial due diligence teams.
  • Advise on post-closing accounting true-ups and disputes.
  • Develop and maintain strong relationships internally and externally, and cross-sell services.
  • Communicate (verbally and in writing) externally with clients and their legal counsel upon accounting matters, and internally with all levels of the organization to successfully accomplish objectives portraying knowledge and confidence.
  • Team with partners and senior managers on proposals and business development calls.
  • Meet or exceed targeted billing hours (utilization).
  • Supervise, train and mentor associates.
  • Other duties as assigned.

Benefits

  • Base salary range for Chicago, IL office: $96,000 - $144,000.
  • Base salary range for Boston, MA office: $103,700 - $155,500.
  • Base salary range for New York, NY office: $103,700 - $155,500.
  • Base salary range for Los Angeles, CA office: $103,700 - $155,500.
  • Base salary range for San Francisco, CA office: $110,400 - $165,600.
