About The Position

Corporate, External and Legal Affairs (CELA) has an immediate opening for a Principal Corporate Counsel attorney to join the US Public Sector Industries Team, which takes pride in their collaboration, learning, energy, and relationship building with business leaders and customers. This role will primarily support the Microsoft Federal business organization in legal, policy, compliance, regulatory and other issues related to the U.S. Government’s purchase of Microsoft’s portfolio of software, cloud computing (Software as a Service, Infrastructure as a Service, Platform as a Service), devices, and professional services (product support and consulting). In this role, you will work with cross functional teams to enable strategic relationships with Microsoft’s most important customers while working on cutting-edge issues related to cloud computing, artificial intelligence (AI), and similar technologies at the intersection of technology, business, and the law. Requirements

  • Juris Doctor Degree or international equivalent degree AND 4+ years experience as a practicing attorney OR equivalent experience.
  • Active license to practice law in a jurisdiction and capable of meeting admission requirements in relevant jurisdiction.
  • Citizenship & Citizenship Verification: This position requires verification of U.S. citizenship due to citizenship-based legal restrictions. Specifically, this position supports United States federal, state, and/or local United States governments agency customers and is subject to certain citizenship-based restrictions where required or permitted by applicable law. To meet these legal requirements, citizenship will be verified via a valid passport.
  • Citizenship & Citizenship Verification: This role will require access to information that is controlled for export under U.S. export control regulations, potentially under the International Traffic in Arms Regulations or the Export Administration Regulations. As a condition of employment, the successful candidate will be required to provide proof of citizenship, U.S. permanent residency or other protected status under 8 U.S.C. § 1324b(a)(3) for assessment of eligibility to access the export-controlled information. To meet this legal requirement, citizenship will be verified via a valid passport.
  • Microsoft Cloud Background Check: This position will be required to pass the Microsoft Cloud background check upon hire/transfer and every two years thereafter.

  • Security clearance at the Top Secret/SCI level (or demonstrated ability to obtain and hold a clearance at this level).

Responsibilities

  • Providing comprehensive legal guidance and government transactional sales and procurement support- both direct and indirect through Microsoft partners - to the Microsoft Federal business related to complex cloud computing, devices and professional services agreements with the U.S. Government;
  • Providing advice and guidance on rapidly changing privacy, cybersecurity, national security, homeland security, and technology policy, government procurement and other regulatory and policy issues impacting the sale of Microsoft products and the delivery of services to government customers;
  • Providing legal advice and counsel on national security, classified matters, governance, and compliance issues arising from engagements involving emerging technologies such as artificial intelligence (including machine learning and cognitive services), quantum computing, augmented reality, and other similar technologies involving the Intelligence Community, Department of Defense and related organizations;
  • Providing comprehensive legal guidance and support to business clients relative to government data rights, bid protests, NDAs, FOIA, intellectual property, trade/ITAR, foreign military sales, teaming and partner agreements, small business subcontracting, competition law, ethics and compliance, privacy law, dispute resolution and corporate citizenship.
