About The Position

The Securities & Corporate Governance Paralegal will support the company's Legal Department in managing corporate governance matters, securities compliance, and public company reporting obligations. This role plays a key part in ensuring the organization meets all regulatory requirements while supporting strategic business operations across a global agricultural enterprise.

Requirements

  • Associate or Bachelor's degree; Paralegal certificate strongly preferred.
  • 3+ years of paralegal experience, with a focus on securities or public company support (agriculture or industry experience a plus).
  • Working knowledge of SEC reporting, corporate governance processes, and equity compensation.
  • Strong attention to detail, excellent organizational skills, and ability to manage multiple priorities in a fast-paced environment.
  • Ability to collaborate with cross-functional partners across Legal, Finance, HR, and Corporate Affairs.
  • High degree of professionalism, discretion, and integrity in handling confidential information.

Nice To Haves

  • Experience using corporate governance platforms (e.g., Diligent, Workiva, or similar) is preferred (but not required).
  • Familiarity with agriculture, commodities, or global manufacturing industries.

Responsibilities

  • Assist with the preparation, review, and filing of US SEC reports and disclosures, including Forms 10-K, 10-Q, 8-K, Section 16 filings and annual proxy statements.
  • Assist with the preparation, review, and filing of mandatory and voluntary non-financial reports and disclosures, and required and voluntary sustainability-related reports.
  • Maintain and update the company's insider trading program, including monitoring trading windows, coordinating insider certifications, and supporting employee communications.
  • Support compliance with stock exchange listing standards and applicable securities regulations.
  • Manage legal entity corporate records, board and committee materials, and annual meeting documentation.
  • Assist in preparation of board and committee agendas, resolutions, minutes, and related governance documents.
  • Assist in preparation, review, and collection of director and officer (D&O) questionnaires.
  • Coordinate annual and periodic corporate filings for domestic and international subsidiaries.
  • Arrange and coordinate notarial meetings, legalizations, notarizations, and apostilles on official legal documents.
  • Coordinate creation, maintenance, and updates to global corporate organization charts.
  • Assist with preparation, review and filing of annual equity plan reporting requirements, including annual 11-K filings.
  • Assist with employee communications related to equity programs and compensation, and related disclosures.
  • Provide support for corporate transactions, including due diligence, drafting ancillary documents, and organizing closing materials.
  • Conduct legal research, gather data, and prepare summaries relevant to securities, governance, and corporate law matters.
  • Manage legal department workflows, including project tracking, vendor management, and document management within legal systems.
