Learn more about why you want to be here! PURPOSE OF THE JOB The purpose of this role is to provide paralegal and legal operations support to the Corporate Legal Department. This position helps ensure that the Company remains compliant with applicable state laws and regulatory requirements, that legal matters are properly addressed, and that contracts, corporate records, litigation files, and other legal documents are accurately maintained, stored, and managed.

Requirements

  • A bachelor’s degree with an emphasis in business administration or liberal arts (or equivalent) is preferred.
  • Minimum 2-5 years’ related experience required.
  • Proficient in use of Microsoft Office products, Docusign, Adobe and department matter management system
  • Demonstrates interpersonal skills and ability to work effectively independently and with others
  • Ability to handle multiple tasks simultaneously and re-prioritize on short time frames with supervisor input
  • Ability to follow verbal and written instructions with precision and accuracy
  • Effective communicator with strong writing and drafting skills
  • Excellent analytical capabilities, organizational skills, and strong attention to detail and proofreading skills
  • Ability to communicate clearly and operate with absolute discretion in a leadership-facing environment

Nice To Haves

  • Paralegal certificate from an accredited program preferred
  • Notary Public certification required but can be obtained after hire
  • Excited by the idea of innovating and driving efficiency in the delivery of legal services using AI legal tools
  • Experience supporting regulated insurance or other financial services entities strongly preferred

Responsibilities

  • Performs corporate secretarial functions, including coordinating and preparing materials, records, signatures, and filings for Board meetings, corporate governance matters, and regulatory submissions.
  • Prepares and files jurisdictional qualifications to do business, Secretary of State filings, and related entity management and corporate governance documents for all companies.
  • Manages biographical affidavits, fingerprints and related regulatory documentation, as needed, for insurance companies.
  • Maintains entity record books, minute books, organizational documents, resolutions, and related corporate records.
  • Prepares, submits, and follows up on state filings.
  • Researches regulatory filing requirements and communicates, in writing and orally, with the applicable department of insurance regarding filing requirements and other regulatory matters.
  • Gathers electronic and physical signatures and provides notarization of documents, as needed.
  • Maintains corporate equity information in the applicable online system.
  • Identifies opportunities to improve governance processes, compliance tracking, recordkeeping, and overall legal and claims litigation operations.
  • Maintains legal department files, corporate documents, certificates, and other governance and legal records.
  • Reviews, prepares and maintains Nondisclosure Agreements (NDA) with third parties.
  • Maintains all Certificates of Authority for all insurance companies in both physical and electronic repositories.
  • Maintains licensing records and renewals for certain corporate entities and/or designated employees.
  • Assist with cloud transition of Corporate Legal electronic file management system in creating standardized organization frameworks, procedures and instructions and continue to maintain and update files.
  • Maintains information in matter management, contract management, e-billing, and other legal department systems, and supports ongoing system enhancements and process improvements.
  • Assists with Legal Department compliance with record retention and destruction requirements.
  • Maintains litigation files.
  • Provides administrative support for subpoenas, complaints, service of process, and other legal notices received.
  • Track legal department deadlines, calendaring, and document management.
  • Assists with processing department invoices, including through applicable e-billing and e-payment systems.
