About The Position

The Paralegal is a key member of the corporate legal department and provides substantive legal and administrative support to in-house counsel across a broad range of corporate, commercial, and compliance matters. This role supports contract management, corporate governance, and legal operations, and regularly interfaces with internal business partners.

Requirements

  • Working knowledge of legal terminology, corporate legal documentation, and basic contract principles.
  • Excellent written and verbal communication skills.
  • Strong file and document management skills.
  • Proficiency in Microsoft Word and Outlook.
  • Experience with contract lifecycle management software.
  • Project management skills, including the ability to manage multiple priorities and deadlines.
  • Effective communication and substantive legal support skills.
  • Excellent organizational skills and attention to detail.
  • Ability to work independently while collaborating effectively within a team environment.
  • High level of professionalism, sound judgment, and discretion.
  • Demonstrated ability to maintain confidentiality and appropriately handle privileged information.
  • Must have a current notary or willingness to obtain such notary with company assistance.
  • Bachelor's Degree from accredited institution or 4-8 years progressively responsible experience as a paralegal in a corporate legal department or law firm environment.

Nice To Haves

  • SEC filing experience preferred.

Responsibilities

  • Serve as primary owner of corporate SEC filings for a publicly traded company, including Forms 3, 4, 8-K, and the annual Proxy Statement.
  • Administer and manage the Company's Ethics and Code of Conduct training program, ensuring timely completion and full employee participation.
  • Own and manage the contract lifecycle management (CLM) system and contract review process, including user training, approvals, and execution workflows.
  • Maintain domestic and international corporate entity and subsidiary records, including preparation of resolutions, coordination of approvals and signatures, required filings, and recordkeeping in accordance with company policy.
  • Provide litigation support, including document collection and organization, coordination with outside counsel, and assistance with discovery and related filings.
  • Support in-house counsel on general corporate matters, contract approvals, and special projects as assigned.
  • Perform other duties as assigned to support the legal department's operations and business objectives.
