About The Position

The Corporate Paralegal position will provide organizational and practice specific assistance to Senior Paralegal, Paralegal Director and Associate General Counsel. . Assist Junior Paralegal with directions as needed. Demonstrates professionalism, attention to detail, and ability to handle multiple priorities and work in an organized and efficient manner. Duties & Responsibilities include but not limited to preparing correspondence, notebooks, drafting documents, forming entities, prepare UCC filings, confidentiality agreements, service agreements; corporate governance, and maintaining case files. Position will be full time; physical presence at corporate office is required.   Essential Duties and Responsibilities include the following. Other duties and tasks may be assigned.   Assists legal department in multiple facets of corporate law. Updates company files, prepares legal contracts, reviews documents, and assists with legal research. Maintains and files corporate records, including resolutions, board of director changes and annual reports. Produces documents related to the development and implementation of corporate legal policies and templates. Oversees the contract process, including planning, collaboration, negotiation, and execution. Provides administrative support for documents and activities related to corporate restructurings, such as mergers, formations, and dissolutions. Works with members of the legal team on special projects and initiatives. Actively promotes GUEST customer service standards; develops effective relationships at all levels of the organization. Participates in team concepts and promote a team effort; performs duties in accordance with company policies and procedures. Regular and reliable attendance is required for the job. Under the supervision and direction of Senior Paralegal, helps to manage and organize the material.

Requirements

  • Bachelor's degree preferred, paralegal certification a plus.
  • Four plus (4+) years law firm experience with corporate or healthcare background, preferred.
  • Type at least 70 words per minute.
  • Proficient with all Microsoft Office products, including Outlook and Word.
  • Advanced analytical skills required; experience with Adobe Profession preferred
