Requirements

  • Associates degree or equivalent combination of education and experience.
  • Three years of paralegal or legal operations experience, preferably in-house or at a law firm supporting corporate/commercial work.
  • Strong experience with contract drafting, review, and management.
  • Excellent organizational skills and attention to detail.
  • Ability to manage multiple priorities in a fast-paced environment.
  • Strong written and verbal communication skills.
  • High degree of professionalism and ability to handle confidential information.

Nice To Haves

  • Experience in healthcare, SaaS/software, fintech, or payments (PayFac experience is a strong plus).
  • Familiarity with: HIPAA and healthcare-related agreements (e.g., BAAs), commercial SaaS contracting, payment processing, or financial services regulations.
  • Experience with contract lifecycle management (CLM) tools.
  • Paralegal certification of equivalent experience.

Responsibilities

  • Draft, review, and manage routine commercial agreements, including: NDAs (mutual and one-way), SaaS and software license agreements, vendor agreements, Business Associate Agreements (BAAs), and independent contractor and consulting agreements.
  • Own the contract intake and tracking process, including maintaining contract templates and clause libraries.
  • Coordinate contract execution workflows (e.g., DocuSign) and maintain organized contract repositories.
  • Perform initial contract redlines using approved playbooks and escalate non-standard terms to the General Counsel.
  • Maintain and continuously improve standard contract templates and fallback language.
  • Help build and enforce contracting guidelines and playbooks for internal stakeholders (e.g., Sales, Procurement).
  • Identify opportunities to streamline and automate legal workflows.
  • Assist with corporate governance matters, including: entity management and filings and board and shareholder documentation.
  • Support regulatory and compliance initiatives, particularly related to: Healthcare (e.g., HIPAA-related documentation support) and Payments/fintech (PayFac compliance support, as needed).
  • Maintain records and assist with audits, diligence requests, and internal reporting.
  • Serve as a primary legal point of contact for routine requests from: Sales (contracts, NDAs), Finance (vendor agreements, payment-related terms), and Operations and Compliance.
  • Help triage incoming legal requests and prioritize effectively.
  • Support due diligence efforts for partnerships, vendors, or strategic initiatives.
  • Assist with legal research and special projects as needed.
  • Manage outside counsel billing and administrative coordination.
  • Other duties as assigned.
