Job Summary: The Paralegal -- Business Contract Review will provide legal and administrative support to the legal department with a primary focus on reviewing, drafting, and managing business contracts and agreements. This role ensures that contracts comply with applicable laws, align with company policies, and mitigate potential risks. The paralegal will collaborate with attorneys, business leaders, and external partners to support the organization's legal and business objectives.

Requirements

  • Associate's or Bachelor's degree; Paralegal Certificate preferred.
  • 3+ years of paralegal experience with a focus on business contract review, preferably in a corporate or law firm setting.
  • Strong understanding of contract law and business transactions.
  • Excellent attention to detail, organizational, and analytical skills.
  • Proficiency with contract management systems and Microsoft Office Suite.
  • Strong written and verbal communication skills.
  • Ability to work independently and manage multiple priorities in a fast-paced environment.
  • Collaborative mindset with ability to interact effectively with attorneys, executives, and business partners.

  • Knowledge of compliance and regulatory requirements impacting contracts.
  • Familiarity with risk management practices and corporate governance.

Responsibilities

  • Review, draft, and edit business contracts, including service agreements, vendor contracts, NDAs, purchase agreements, and partnership agreements.
  • Identify and highlight potential legal, financial, or compliance risks within contracts.
  • Ensure contracts align with company policies, business goals, and regulatory requirements.
  • Maintain organized contract management systems, track contract lifecycles, deadlines, and renewals.
  • Support negotiations by preparing summaries, redlines, and recommended revisions for attorney review.
  • Conduct legal and factual research as needed to support contract-related matters.
  • Assist in developing and maintaining standard contract templates and clause libraries.
  • Coordinate with internal departments (procurement, finance, operations, compliance, etc.) to gather input and resolve contract-related questions.
  • Prepare reports and provide contract status updates to attorneys and business leaders.
  • Assist with due diligence, corporate filings, and other transactional legal matters as required.
  • Maintaining company records, minute books, and board resolutions.
  • Assisting with drafting and filing corporate documents (formation, amendments, mergers, dissolutions).
  • Maintaining compliance with bylaws.
  • Monitoring compliance with internal policies and external regulations.
  • Assisting with filings (SEC, state registrations, business licenses, international entity maintenance).
  • Supporting internal audits or risk assessments.
  • Acting as a liaison between the legal team and business units (finance, procurement, HR, sales, operations).
  • Gathering information from stakeholders to support contract negotiations or compliance issues.
  • Providing guidance on company policies, contract processes, and basic legal requirements.
