Brown Brothers Harriman is currently recruiting a Paralegal to join our Office of General Counsel (“OGC”), Capital Partners (“CP”) legal group, which covers BBH’s multi-family office, institutional investment management, private and registered funds and corporate advisory banking businesses. The Paralegal will support the coverage attorneys in all legal matters for the CP line of business.

Requirements

  • BA/BS Degree
  • The candidate must have a minimum of two (2) years relevant experience at a law firm or financial institution
  • Excellent written and oral communication skills
  • Well-organized and detail oriented
  • Well-developed and professional interpersonal skills
  • Ability to prioritize, take initiative and bring projects to conclusion
  • Ability to work effectively with various internal and external constituencies
  • Ability to work effectively in a fast-paced environment and manage multiple projects simultaneously
  • The candidate must be someone who takes initiative and assumes responsibility for his/her tasks

Nice To Haves

  • Paralegal certificate a plus, but not required

Responsibilities

  • Negotiate non-disclosure agreements and escalate, as appropriate, non-standard provisions to coverage attorneys; assist in all facets of the preparation of agreements for execution including record keeping of same and document management in accordance with OGC’s policies
  • Review third party power of attorney requests
  • Document preparation using approved templates
  • Manage front office inquiries to the CP legal group relating to amendments to client agreements, exceptions to policies (with coordinate with Compliance and Risk), and related matters
  • Preparing drafts of routine client facing letters and agreements for attorney review based on approved templates (e.g., client directed letters, medallion signature guarantee letters, family office services agreements, side letters, client engagement letters for Corporate Advisory Banking group)
  • Preparing investment management agreements for execution, including drafting signature pages and related internal cover memo detailing any non-standard provisions and the proper escalation of the same
  • Assisting in the review and negotiation of various types of agreements impacting CP line of business under attorney supervision
  • Assisting in updating and managing CP standard forms and templates
  • Assisting with preparing and reviewing regulatory filings and fund documents under attorney supervision, including Form ADV and fund documents
  • Manage and track inquiries and requests to CP legal team, and assist, where appropriate in responding to those inquiries, escalating as necessary to the coverage attorney and other control functions

  • Salary Range MA: $65,000 - $90,000 bonus plus annual bonus target
