About The Position

In this role, you will join the legal team in supporting BEn with the review of contracts, preparing responses to due diligence inquiries, preparing first drafts of legal documents, and lead drafting and review of certain legal documents, as well as assisting with managing various aspects of closing of corporate transactions including oversight of all related documentation. You will maintain BEn's document management and control system, and will be responsible for information governance and training of the broader BEn team on the system/workflow, and assist with contractual compliance (i.e. the tracking and notification of obligations that arise from various BEn contracts. You will review outside counsel invoices and assist in outside counsel budget management. Your attention to detail and communication will contribute to efficiency of legal department activities. You will have a strong understanding of corporate governance, associated knowledge management, and strong cross-functional skills to collaborate across teams and departments.

Requirements

  • Requires bachelor's degree (or international equivalent) and 5-8 years of relevant experience or 9-12 years of relevant work experience.
  • Paralegal Certification preferred.
  • Collaborative, highly organized, strong prioritization skills and pro-active.
  • Knowledge of MS Excel, Power Bi, SharePoint and other tools/systems to support compliance, records retention and management, process efficiency and improvement preferred.
  • Communicates effectively in writing and orally; communicates fully and on-time with supervisors, managers, colleagues and clients.
  • High attention to detail and quality.
  • Ability to handle confidential information and communications in a secure manner.
  • Demonstrates by conduct an uncompromising commitment to Bechtel's high ethical standards.
  • M&A related experience preferred.

Responsibilities

  • Provides comprehensive support for mergers and acquisitions and joint ventures, including preparing and organizing closing documents and binders, and tracking post-execution requirements.
  • Manages and maintains the existing document management system for archived records/contracts to help the team ensure compliance with obligations under the contracts and also under internal approvals.
  • Provides general support to the BEn team on legal issues relating to M&A, development of projects and financing, as well as interfacing with the Bechtel Risk Management, Bechtel Internal Audit and Bechtel Ethics & Compliance departments.
  • Performs web-based research tasks, including finding relevant regulations and statutes related to finance and investment matters.
  • Assists in performing due diligence on potential consultants, representatives and business associates.
  • Support corporate governance efforts for a growing portfolio of entities by drafting organizational documents (e.g., resolutions, consents, and inter-company agreements), as well as coordinating with corporate Legal in procuring certificates of good standing and other closing documentation as needed.
  • Reviews and determines appropriate responses to incoming project related requests, documents, and correspondence; manages relationship and communications with internal/external customers, and other members of the legal department.
  • Trains BEn personnel in the use of information storage and tracking practices. Monitors work to ensure effective implementation of these practices.
  • Keeps abreast of department technologies, techniques, and services that are available to assist with contract compliance and document management and retention.
  • Compiles information, analyzes and prepares reports, and establishes metrics for compliance and document management activities.
