About The Position

Our recruiting team is partnering with an AmLaw 20 client that sits squarely at the intersection of technology, life sciences, and the public markets. The firm is nationally ranked for Capital Markets and Startups & Emerging Companies work and is a go -to advisor for high -growth companies and their investors across the full company lifecycle, including IPOs and follow -on offerings. From its Silicon Valley hub, this firm advises venture -backed and late -stage tech and life sciences companies, investors, and underwriters on market -moving transactions and public company matters, with a strong track record in U.S. equity capital markets and cross -border work. The Silicon Valley office is seeking a mid -level associate for its Technology -focused Capital Markets group. In this role, you will: Lead and support registered equity offerings, including IPOs and follow -on offerings, for technology and life sciences issuers. Work closely with issuers and underwriters on the full underwriting process, including drafting and reviewing registration statements, prospectuses, comfort letters, legal opinions, and related offering documents. Advise public company clients on ongoing reporting and corporate governance matters. Coordinate across offices with colleagues in corporate, technology, life sciences, and fund practices on capital markets and strategic transactions. Prior sector focus in technology or life sciences is not required, but you should be ready to work with high -growth companies that move quickly and expect precision.

Requirements

  • J.D. from a top law school and 3–6 years of Capital Markets experience at a sophisticated law firm.
  • Hands -on experience with public company reporting and registered equity offerings, including IPOs and follow -on offerings.
  • Familiarity with the underwriting process, including comfort letters, opinions, negative assurance, and closing mechanics.
  • Strong drafting skills and comfort running workstreams with clients, banks, and auditors.
  • California bar admission, or clear eligibility to obtain it promptly.
