About The Position

Our strategically growing law firm is seeking a talented Mergers & Acquisitions Associate Attorney to join our corporate practice. This role offers the opportunity to work on sophisticated transactions for clients nationwide, alongside a collaborative team of experienced attorneys. Requirements

  • 1–8 years of relevant experience in corporate transactions, with a strong interest in mergers and acquisitions
  • Admission to practice law in Nebraska, or current eligibility for admission
  • Experience drafting and negotiating transactional documents
  • Experience with M&A due diligence processes
  • Excellent academic credentials
  • Ability to clearly and concisely communicate complex legal concepts in both written and oral form
  • Strong work ethic, attention to detail, and a proactive approach to learning and responsibility
  • Ability to identify and analyze legal and business risks in transactional matters
  • Effective analytical skills and the ability to work collaboratively in a fast-paced team environment

Responsibilities

  • Collaborate with clients to develop and execute transaction strategies aligned with their business objectives
  • Assist in and manage all phases of M&A and investment transactions, including structuring, due diligence, negotiation, drafting, execution, closing, and post-closing integration
  • Draft and negotiate definitive transaction documents, including purchase agreements, disclosure schedules, and ancillary agreements
  • Conduct and manage legal due diligence reviews and summarize findings for deal teams and clients
  • Analyze legal, regulatory, and competitive considerations affecting transactions across a variety of industries
  • Advise clients on corporate governance and general corporate matters
  • Interact directly with business executives, investors, and other transaction stakeholders
  • Work collaboratively as part of a high-performing deal team, with increasing responsibility as experience grows
