SUMMARY: The Board of Directors (“Board”) is legally and ethically responsible for all activities of the organization. To that end, the Board determines how the organization will carry out its mission through long and short-range planning. The Board adopts an annual budget and provides fiscal oversite. The Board recruits, orients and develops board members. The Board hires and evaluates the performance of the Chief Executive Officer. The Board evaluates its performance and the overall performance of the organization in achieving the mission. The Board establishes policies for the effective management of the organization.
