About The Position

Palo Alto Networks is seeking a Managing Senior Counsel to support its corporate legal function, with a focus on securities law and governance. This role works closely with teams across Finance, Accounting, Investor Relations, and executive leadership to ensure compliance with public company requirements and support key corporate initiatives. The position will lead preparation and review of SEC filings, including periodic reports, proxy statements, and other disclosures, while advising on compliance with federal securities laws, stock exchange requirements, and corporate governance standards. The role also supports board and committee processes, executive compensation matters, and equity-related programs. In addition, the attorney will provide legal support for capital markets transactions and corporate structuring initiatives, including financings, reorganizations, and subsidiary management. The role partners with internal stakeholders and outside counsel to maintain scalable legal frameworks that support the company’s continued growth. The ideal candidate brings deep experience in corporate and securities law, particularly within publicly traded companies, along with the ability to provide clear, practical guidance in a fast-moving environment. You are comfortable working cross-functionally, advising senior stakeholders, and managing complex legal matters with sound judgment and precision.
