About The Position

Your Career Palo Alto Networks is looking for a highly skilled and experienced Managing Senior Counsel to join our dynamic corporate legal team. You will play a key role assisting on our company’s corporate governance and securities law matters. You will work closely with your primary stakeholders, including Finance, Accounting, Treasury, Investor Relations, External Reporting, and the People teams, while being an important resource for your colleagues on a global basis. This position will be located in Santa Clara, CA, and report to the Senior Director, Assistant General Counsel, Corporate, Securities, and M&A. This is an exciting opportunity for someone who is intellectually curious, creative, and able to identify and resolve legal and business issues that arise in the context of the company’s strategic goals and risk thresholds. This position requires a high degree of self-sufficiency, independent judgment, and a results-oriented approach.

Requirements

  • Must be an attorney admitted to the bar in at least one U.S. state, and eligible to obtain registered in-house counsel status in California.
  • Must have a JD or equivalent.
  • At least 8 years of corporate and securities law experience, with significant experience in advising publicly traded companies.
  • Expertise in SEC reporting requirements, federal securities laws, and stock exchange listing requirements.
  • Advanced knowledge of proxy statement preparation and shareholder meeting logistics.
  • Experience quickly issue-spotting, analyzing, and clearly communicating advice on comply legal issues.
  • Ability to lead, act, and provide direction in the face of ambiguity.
  • Excellent interpersonal skills, sound business judgment, and strategic thinking.
  • Strong collaboration skills to successfully work across business functions and geographies.
  • Self-start who is intellectually curious, and thrives in a dynamic environment.

Nice To Haves

  • Experience working in-house at a publicly-traded company is preferred, with relevant prior experience from a top law firm.
  • Working knowledge of executive compensation matters and equity plans is preferred.

Responsibilities

  • Prepare and review SEC filings, including periodic and current reports, our annual proxy statements for shareholder meetings, and registration statements.
  • Advise on compliance with rules and regulations applicable to public companies, including the Securities Act of 1933, the Securities Exchange Act of 1934, Nasdaq listing rules, and Delaware law.
  • Prepare board of directors and committee meeting materials.
  • Advise on earnings related materials and other public-facing corporate communications.
  • Oversee Section 16 reporting and compliance.
  • Provide legal support on executive compensation matters and equity-related matters, including our insider trading policy and 10b5-1 trading plan programs.
  • Provide legal support for capital markets transactions, such as financings, restructurings, credit facilities, and debt offerings.
  • Assist in overseeing maintenance of subsidiaries, supporting internal entity expansion, and advising on entity structuring, tax reorganizations and related matters.
  • Maintain the company’s corporate policies and processes with scalable frameworks.
  • Support the management of outside counsel on various matters.
