About The Position

We are seeking a Legal Counsel to join our global legal team and drive the legal function in our U.S. based business. In this role, you will serve as a trusted business partner, by delivering fast and high quality legal services, effectively cooperating with colleagues from various departments and nurturing your skills in our legal & compliance space. This is a hybrid position based in our Middleton, WI office.

Requirements

  • Juris Doctor (J.D.) degree from an accredited U.S. law school.
  • Licensed to practice law in the U.S.
  • 5+ years of relevant working experience in-house (or a combination of law firm and in-house), preferably in a scale-up business.
  • Generalist with experience in commercial IT contracts (e.g. data, technology, software, SaaS), government contracting, intellectual property and compliance.
  • Profound IT-B2B and IT-B2G business understanding.
  • Independent innovative thinker with good analytical and problem-solving skills.
  • Excellent written, verbal, and interpersonal communication skills.
  • Flexible team player with consulting, negotiation and persuasive skills.
  • Highly organized, with the ability to juggle a variety of priorities with minimal supervision under tight deadlines.
  • A collaborative mindset with a positive attitude and passion to support a growing business.

Responsibilities

  • Partner closely with sales, customer success, marketing, product, tech, delivery and support teams to ensure risks are adequately managed.
  • Provide support and guidance on various legal issues related to sales, partnerships and procurement.
  • Draft, negotiate and review a wide range of commercial contracts, such as license agreements, confidentiality agreements, reseller/partner agreements and service agreements.
  • Provide advice on RFP/RFQ responses and public procurement processes, balancing legal, commercial, and operational considerations.
  • Keep the legal know-how within Cyclomedia up-to-date with regard to data protection, intellectual property, AI, cybersecurity and other developments affecting the company and its target industries and synthesize the information to incorporate it into company’s transactional practices.
  • Ensure compliance with applicable external and internal regulations, procedures, and guidelines.
  • Recognize and exploit opportunities to optimize policies, legal processes and contracts in collaboration with other teams.
  • Represent the company’s interests and interface directly with customer counsel and negotiating teams.
  • Provide training and guidance on legal processes, contracting standards, and risk awareness.
  • Support corporate housekeeping and assist in maintaining corporate records and compliance filings.
  • Liaise with and manage external advisors, lawyers and notaries.
