About The Position

Legal Counsel (Head of Legal) — FIDx (with support to Magis) About FIDx Fiduciary Exchange (“FIDx”) is a well-capitalized Fintech transforming the annuity marketplace. We connect top annuity manufacturers directly to the leading wealth management platforms, institutional banks, and broker-dealers through an ecosystem built for scale. FIDx is fundamentally reshaping how annuities are researched, proposed, opened, and managed by simplifying workflows across carriers, home offices, and advisors. We have replaced complexity with efficiency and friction with flow. We are enabling annuities to become an essential building block of every client’s portfolio. Magis Capital Partners LLC (“Magis”) provides shared-service support to FIDx, including financial and human resources services. Why this role This role is built for an ambitious, growth-oriented lawyer who wants to impact the future growth of the business by partnering closely with the CEO and executive team, helping the business move faster while staying risk-aware and well-governed. As FIDx’s primary legal leader, you’ll shape our legal strategy and day-to-day execution across governance, contracting, compliance, and enterprise risk—while supporting Magis on related legal needs.

Requirements

J.D. from an accredited law school; admission to the Pennsylvania bar in good standing.
~5+ years of legal experience (law firm and/or in-house). Strong candidates slightly above/below are encouraged to apply.
Sound business judgment, strong writing and communication skills, and the ability to operate autonomously in a fast-paced environment.
Familiarity with financial services and/or regulated technology; understanding of privacy, AI strategy, information security, and cybersecurity frameworks.
AI-enabled legal workflows: You have a working knowledge of AI tools applied to standard legal work, and you’re comfortable using them (with appropriate confidentiality and guardrails) to improve speed and consistency in areas like: Client and vendor contracting (drafting support, issue-spotting, clause comparisons, playbooks/template refinement) Employment agreements (standard terms, variations, and risk flags) Real estate transactions (reviews, summaries, checklists, and key-term extraction)

Exposure to venture capital / capital raises and strategic transactions.
Experience working with financial institutions and/or technology companies.
Experience with employment law, drafting employment agreements and advising on employment matters.

Responsibilities

Advise the CEO and leadership team on legal, regulatory, and risk matters, with practical guidance that enables growth.
Identify legal risks early and build mitigation strategies aligned to business objectives.
Oversee governance matters for FIDx and Magis; support board/committee activities and maintain corporate records.
Lead legal workstreams for venture investments, capital raises, restructurings, acquisitions, and strategic transactions (including drafting, negotiation, and diligence).
Build and oversee compliance frameworks relevant to fintech/financial services and the use of AI across the business; monitor regulatory developments and advise on applicable regimes (including SEC/FINRA, privacy, and cybersecurity) for FIDx Markets.
Draft, review, and negotiate key agreements (technology, vendor, partnership, licensing, customer) and implement scalable contract processes, templates, and playbooks.
Oversee privacy and cybersecurity compliance initiatives and advise on information security risk management and AI use across business units.
Advise on employment matters, compensation, equity arrangements, and internal policies; support internal governance frameworks.
Manage outside counsel relationships and legal spend; help build internal legal capabilities as the organization scales.
