About The Position

Qualcomm is seeking an experienced attorney to join its in-house legal team in San Diego, focusing on supporting the Intellectual Property Department with legal diligence and transactional support for mergers and acquisitions (M&A) and related projects. Qualcomm’s in-house IP Standards and Diligence team works on a wide variety of projects, including advising corporate business teams on all corporate M&A projects, supporting in-house and outside counsel with patent portfolio management, and supporting Qualcomm’s licensing division, litigation teams, and other business units. The ideal candidates will have a strong intellectual property background, familiarity with the patent lifecycle, and demonstrated experience supporting M&A transactions. Additionally, strong communication skills, contract drafting and negotiation skills, and litigation experience are preferred. This role is located in San Diego, CA and requires onsite work (5 days a week).

Requirements

  • Juris Doctorate degree or international equivalent.
  • 5+ years of relevant experience as counsel at a law firm or in-house.
  • Active bar license to practice law in the state or jurisdiction where the employee will be practicing (or ability to obtain upon hiring).

Responsibilities

  • Serve as subject matter expert and lead in-depth analysis of intellectual property portfolios, including investigations into patent legal ownership and bibliographic information.
  • Assist with drafting and negotiation of various agreements including asset purchase and assignment agreements in support of corporate M&A functions.
  • Review and analyze wide variety of diligence materials including complex licensing and other commercial agreements and seller disclosure schedules.
  • Act as a trusted legal advisor to business unit legal, licensing, tax, litigation, and operations teams.
  • Deliver timely and actionable legal advice on a variety of intellectual property related issues, including internal policy compliance and corporate intellectual property governance matters.
  • Work closely with IP legal specialists, internal patent prosecution teams, and outside counsel on various responsibilities related to patent portfolio management and maintenance.
  • Assist with training and education of various stakeholders on intellectual property best practices, legal risks, and IP policy compliance.
